Licensed Know how shall mean all information, procedures, instructions, techniques, data, technical information, knowledge and experience (including toxicological, pharmaceutical, clinical, non-clinical and medical data, health registration data and marketing data), designs, sales and marketing materials and technology, including without limitation Data, owned or controlled by Zogenix during the Term and necessary to use, distribute, sell, or offer for sale the Product in the Territory whether in written electronic or other form, including the Dossier. Notwithstanding the foregoing, Licensed Know-How shall exclude any and all Manufacturing Know-How;
Licensed Know. How" shall include all inventions, discoveries, trade ----------------- secrets, experience, xxxx, xxxxxxxx information, formulas, computer models, procedures, results, materials and assays owned by or licensed to Epimmune (with the right to license or sublicense), which are not included in the Licensed Patent Rights, but which are necessary or useful to the commercial exploitation of the Licensed Patent Rights and which are not generally publicly known. Licensed Know-How shall include, but not be limited to, reagents, peptides manufactured in accordance with GMP and cell lines for the purpose of immunomonitoring.
Licensed Know. How means all technical and other Information or data owned or Controlled by the Licensor and used in the development and/or manufacture of the Product. Licensed Know-How shall include but not be limited to scientific, technical, and commercial information relating to the Process, such as specifications, know-how, technologies, manufacturing processes, research, inventions and the Licensor’s commercial activities, and further including any know-how comprised in the New General Application Intellectual Property, as defined in the Development Agreement as well as know-how comprised in the Improvements. In the event the Licensee exercises its option under Clause 14 of the Development Agreement also for a technology transfer and license of the [***], Licensed Know-How shall also include the [***]. Without limiting the foregoing, the Lonza Know How as of the effective date of the Development Agreement is identified in Schedule A and Schedule C hereto.

Licensed Know. How shall mean all rights in Know-How that (a) relate to Products in the Field other than Dermatological Products (including without limitation relating to the manufacture of any such Product or useful for or used in the manufacture, use, offer for sale, sale or importation of any such Product), and (b) are Controlled by any member of the IDEA Group. Licensed Know-How, if confidential, shall constitute Confidential Information of IDEA in accordance with Article 6. For the avoidance of doubt, the inclusion of Know-How generated in the Celebrex Comparator Sub-Study in the Licensed Know-How is subject to the terms and conditions set forth in Section 3.2

Related to Licensed Know

  • Licensed Know-How means any and all unpatented and/or non-patentable technical data, documents, materials, samples and other information and know‐how that is Controlled by LICENSOR or any of its Affiliates as of the Effective Date or thereafter during the Term that relates to, or is otherwise reasonably necessary or reasonably useful for, the use, Development, manufacture, or Commercialization of the Product. Licensed Know-How shall not include Licensed Patents.

  • Licensor Know-How means any and all Know-How that (a) is Controlled by Licensor or any of its Affiliates as of the Effective Date or at any time thereafter during the Term and (b) pertains to the Manufacture, use or sale of Licensed Products, including Research Inventions (other than Research Patents).

Examples of technical information include research and engineering data, engineering drawings, and associated lists, specifications, standards, process sheets, manuals, technical reports, technical orders, catalog-item identifications, data sets, studies and analyses and related information, and computer software executable code and source code.

  • Licensed Field of Use means all fields.

SCEA may amend such Licensed Trademarks from time to time in the SourceBook 2 or other Guidelines or upon written notice to Publisher.

  • Licensed Marks means the Localized Game Marks and such other trademarks expressly authorized in writing by Shengqu to be used by the Licensees.

  • Proprietary product means a manufactured component or other product that is produced by a private person. It may be protected by patent, trademark or copyright.

These Biological Materials shall be listed on Exhibit A, which will be periodically amended to include any additional Biological Materials that Medical School may furnish to Company.

  • Licensed IP Rights means, collectively, the Licensed Patent Rights and the Licensed Know-How Rights.

  • Licensed Property means the portion of the Software and the Documentation to which Customer has purchased a License as identified on an applicable Order. Licensed Property shall include any updates or upgrades to the Licensed Property that AvePoint may at its discretion deliver to Customer.
