Licensed Indications definition

Licensed Indications means narcolepsy and its associated conditions including without limitation cataplexy and excessive daytime sleepiness and any other Indication(s) for which Celltech obtains the right to develop the Product pursuant to Section 2.3 hereof.

Licensed Indications means the Vaccine indications licensed to GSK pursuant to the License Agreement.

Licensed Indications means all pharmaceutical uses for which Regulatory Approval is obtained for the Product.

Examples of Licensed Indications in a sentence

• Except as otherwise provided in this Agreement or in the Research Plan, Licensee will be responsible for all manufacturing activities and associated costs to support the clinical development (including GMP manufacturing for Clinical Trials) of the Products developed under the Research Program, and commercialization of the Products for Licensed Indications arising from the Research Program.

• If, during the Term of this Agreement, Orphan Medical desires to pursue further development of the Product in the Territory for one or more Indications other than the Licensed Indications, or in the Option Countries or in Australia for the Licensed Indications or one or more Indications other than the Licensed Indications, Orphan Medical shall provide written notice to Celltech (the “Negotiation Notice”) of its intent to negotiate an agreement therefor.

• In exercising such termination right, Licensee may terminate this Agreement in its entirety or, if desired, Licensee may specify in the written notice that this Agreement is terminating only with respect to one or more of the Licensed Indications within the Field.

• The parties shall have ninety (90) days from the date Orphan Medical receives Celltech’s response to the Negotiation Notice to negotiate in good faith (and on a confidential basis), and enter into a letter of intent, term sheet or final agreement with regard to, as applicable, Celltech’s distribution of the Product in the Territory for the new Indication(s) or in the Option Countries or Australia for the Licensed Indications or one or more Indications other than the Licensed Indications.

• Subject to the terms and conditions of this Agreement, Penn hereby grants an option to Licensee for [***] months after the Effective Date, exercisable through written notice to Penn, to obtain a license under Penn’s interest in the Option Patent Rights set forth in Exhibit F to research, develop, make, have made, use, sell, offer for sale, commercialize and import Products in the Field in the Territory for the Licensed Indications during the Term (the “Option”).

More Definitions of Licensed Indications

Licensed Indications means the following to the extent they are oncology and age-related macular degeneration indications (i) any prostate cancer, prostatic intraepithelial neoplasia (IEN) and benign prostatic hyperplasia, (ii) any lung cancer and atypical adenomatous hyperplasia and (iii) familial adenomatous polyposis, colorectal polyps and Xxxxxx’x esophagus. The LICENSED INDICATIONS exclude the BCCNS FIELD and any indications not expressly listed above.

Licensed Indications means each of the following Indications for a Product: (a) the Tier A Indications and (b) the Indications added to this Agreement through the exercise of an Option.

Licensed Indications means (i) Narcolepsy, (ii) Fibromyalgia (only upon receipt of a Fibromyalgia Notice pursuant to Section 2.1 and receipt by Jazz Pharmaceuticals of the milestone payment set forth in Section 4.1(h) below), and (iii) any other Indication(s) for which UCB obtains the right to develop and commercialize the Product pursuant to Section 2.3 hereof. For clarity, if UCB does not deliver the Fibromyalgia Notice to Jazz Pharmaceuticals pursuant to Section 2.1 or fails to pay Jazz Pharmaceuticals the milestone payment set forth in Section 4.1(h) below, Fibromyalgia will not be considered a Licensed Indication for the purposes of this Agreement.

Licensed Indications means each of the Renal Indication, the Cardiovascular Indication, and the Metabolic Indication. Licensed Indications does not include any indication not included in the Renal Indication, the Cardiovascular Indication, or the Metabolic Indication, including the prevention, treatment, or amelioration of: (i) any forms of cancer; (ii) any forms of organ failure (other than renal failure or heart failure); (iii) respiratory disorders; (iv) allergies and autoimmune diseases (other than lupus nephritis); (v) neurological, psychiatric, or neuropsychiatric disorders (other than diabetic neuropathy); (vi) infectious diseases; (vii) skin diseases (other than diabetic ulcers); (viii) gastrointestinal disorders; (ix) bone or cartilage disorders; (x) musculoskeletal disorders; (xi) eye diseases (other than diabetic retinopathy); (xii) human immunodeficiency virus-associated complications; and (xiii) sepsis; provided that the foregoing exclusions ((i) through (xiii)) shall not limit Licensee from marketing or selling Licensed Products for the Renal Indication, the Cardiovascular Indication, or the Metabolic Indication, even if the use of a Licensed Product may have an incidental therapeutic benefit for one of the excluded diseases or conditions set forth in clauses (i) through (xiii). Specific terms in this Exhibit have been redacted because such terms are both not material and are of the type that the Company treats as private or confidential. These redacted terms have been marked in this Exhibit with three asterisks [***].

Licensed Indications means all human indications treated or treatable by the oral administration of IFN-a.

Licensed Indications means the following Indications: (a) [*] non-neuromuscular diseases and conditions (e.g., [*]); (b) [*]; and (c) any other Indication designated as a Licensed Indication pursuant to Section [*].

Licensed Indications means SORD and Galactosemia.
