Licensed Business Intellectual Property Rights definition

Licensed Business Intellectual Property Rights means Business Intellectual Property Rights which as of the Closing Date are owned by Seller or any Subsidiary, or to which Seller or any Subsidiary has the right to grant licenses to Purchaser of the scope granted in the Intellectual Property License Agreement without the payment of royalties or other consideration to third parties, in each case other than Transferred Business Intellectual Property Rights.
Licensed Business Intellectual Property Rights means the Business Intellectual Property Rights that are not Transferred Business Intellectual Property Rights and that are licensed by Seller to Purchaser pursuant to the Seller License Agreement.
Licensed Business Intellectual Property Rights means Intellectual Property Rights that any third Person owns and that any member of the Company Group is licensed to use in its business as currently conducted and as proposed to be conducted.

Licensed Business Intellectual Property Rights means all Business Intellectual Property Rights, excluding (i) Patents, Trademarks, and Internet Properties that are Business Intellectual Property Rights and (ii) the Transferred Business Intellectual Property Rights.
