Licensed Antibodies definition

Licensed Antibodies means those Program Antibodies that are selected by Surface pursuant to Section 3.3(a), and any Program-Benefited Antibody generated from such Program Antibodies.

Licensed Antibodies means the antibodies set forth in Exhibit A hereto, and any subsequent monoclonal antibodies owned, licensed or developed by M-Tech or its Affiliates that are directed towards the same antigens as the antibodies listed in Exhibit A. Expressly excluded from the Licensed Antibodies are any subclone cell lines isolated from the [***] cell line other than those that primarily produce human monoclonal antibodies to [***], whether alone or in combination with other antigens.

Licensed Antibodies means the Lead Antibody and the Back-up Antibodies.

Examples of Licensed Antibodies in a sentence

• On a Target-by-Target basis, Adimab hereby grants to Surface the exclusive option (for each Target, a “Commercial Option”) to obtain the licenses of Section 3.3(b) for Licensed Antibodies to the Target, exercisable by payment of the Commercial Option Fee with respect to such Target to Adimab on or before the expiry of the Evaluation Term.

• Subject to the provisions of Section 2.2(c)(ii), MorphoSys shall provide in its MorphoSys Annual Development Reports to Xencor, and through JDC discussion, information regarding its (or its Affiliate’s or, to the extent permitted by the Sublicense, Sublicensee’s) interactions with Regulatory Authorities with respect to all Licensed Antibodies and/or Licensed Products in its respective Territory.

• In case the Sublicense terminates, there shall be a non-exclusive, royalty-free, sublicensable (through one (1) or more tiers without consent) license back to MorphoSys under the Post-Sublicensing Patents to make, have made, use, sell, offer to sell, and import Licensed Antibodies and/or Licensed Products; which license shall be passed on to Xencor if this Agreement also terminates.

• Subject to the terms and conditions of this Agreement, Prothena hereby grants to Celgene an exclusive right and license, with the right to grant sublicenses (through multiple tiers), under the Prothena IP to research, develop (including Develop), make (including Manufacture), have made (including have Manufactured), use, offer for sale, sell, import, Commercialize and otherwise exploit Licensed Antibodies and Licensed Products, including Diagnostic Products, in the Field in the Territory.

• On a Target-by-Target basis, after Commercial Option or Research Option exercise, Surface may also terminate this Agreement as to all Licensed Antibodies, Licensed Research Antibodies and Licensed Products to a particular Target by [***] prior written notice to Adimab.

More Definitions of Licensed Antibodies

Licensed Antibodies means those antibodies set forth on Schedule 2.2 hereto. ***** Confidential material redacted and filed separately with the Commission.

Licensed Antibodies means (a) all CSF1R Antibodies Controlled by Five Prime as of the Effective Date, including FPA008 and the Antibodies set forth on Exhibit B, (b) all CSF1R Antibodies Controlled or otherwise researched or developed by BMS during the Restricted Period, and (c) all modifications, derivatives, fragments or variants of any CSF1R Antibody set forth in part (a) or (b) of this definition.

Licensed Antibodies means (i) Antibody [***] and all other Licensed Antibodies (as defined in the Option Agreement), including the antibodies listed on Exhibit A hereto, (ii) all monoclonal antibodies identified or generated by Inhibrx and/or its Affiliates during the Term directed against the Target, and (iii) any analog, fragment, variant, modification or derivative of any of the foregoing.

Licensed Antibodies means (a) the VEGFR2 and PDL-1 monoclonal antibodies generated by Kadmon, and (b) any and all human monoclonal antibodies developed by Jinghua using the Technology.

Licensed Antibodies means hybridomas designated LYM-1 (ATCC No. HB 8612), LYM-2 (ATCC No. HB 8613), and other hybridomas, and antibodies produced by or derived from such hybridomas, pursuant to a license agreement dated June 12, 1985 between Northwestern University and Techniclone International Corporation except for certain rights which may be held by the United States Government.

Licensed Antibodies means IPH2201 and all Back-Up Licensed Antibodies.

Licensed Antibodies means any antibodies developed by IRB or Licensee [***]. For clarity, IRB acknowledges that Humabs rather than IRB will be the owner of intellectual property in antibodies developed in Humabs’ labs (if any) using the Platform Technology without any further involvement of IRB, but that such antibodies will nonetheless constitute “Licensed Antibodies” hereunder and be subject to royalty payments pursuant to Article 4 hereof.
