License Commencement Date definition

License Commencement Date means the date that the last PARTY has executed this AGREEMENT.

License Commencement Date means the date that Philips makes the EDI Software and Services Solutions available to Customer for first use consistent with the usage rights and restrictions under the terms of this Agreement and upon completion of the installation of any server(s) provided by Customer as part of the Customer Provided Hardware or purchased through Philips and related network infrastructure. Acceptance of all EDI Software and Services Solutions shall occur upon the License Commencement Date. Customer shall promptly sign the Philips Medical Device Installation Record (“MDIR”) form, if requested, at such time. All fees for licenses commence at the same time and, in the event of multiple sites, all licenses and fees start upon the License Commencement Date for the first site, unless otherwise provided on a Quotation.

License Commencement Date means the date that Philips makes the EOI Software Solution(s) available to Customer for first use consistent with the usage rights and restrictions under the terms of this Agreement, upon completion of its installation on the Customer server provided by Customer as part of the Customer Provided Hardware and Network Infrastructure.

Examples of License Commencement Date in a sentence

• Notwithstanding the foregoing, subject to the terms of the immediately following paragraph, Licensee shall not be required to pay the License Fee under this Agreement (the “Abatement”), for the period commencing on the License Commencement Date through the expiration or earlier termination of the Term (the “Abatement Period”), not including any period of hold over, which would be subject to Section 26 below.

• Notwithstanding the foregoing, in no event shall the License Commencement Date be prior to January 1, 2024.

• Notwithstanding anything to the contrary contained in this Agreement, as of the License Commencement Date, the maintenance and repair obligations for the Licensed Premises shall be allocated between Licensor and Licensee as set forth on Exhibit G attached hereto.

• In connection with Licensee’s use and occupancy of the Licensed Premises, commencing on the License Commencement Date, Licensee shall have the right to use that certain storage cage in the Building designated on Exhibit F as “General Storage Area” (“Suite 100 General Storage Area”) for the storage of Licensee’s property and for no other use or purpose.

• The License Commencement Date is anticipated to occur on January 13, 2024 (the “Target Commencement Date”).

License Commencement Date means the date on which the Questionmark OnPremise Software was installed or licensed.

Acceptance of EOI Software Solutions shall occur upon the License Commencement Date. Customer shall promptly sign the Philips’ Customer Acceptance Form, if requested, at such time.

License Commencement Date means the respective date on which each variety from the group of NF/GA001, NF/GA002, NF/GA991, NF/GA992 and NF/GA993 is licensed by CERES pursuant to the terms of this Agreement (i.e., subject to Article II of this Agreement) and added by an amendment to EXHIBIT A to this Agreement.

License Commencement Date has the meaning set forth in Section 4.02(a).

License Commencement Date means completion of initial system set-up, customer acceptance, and customer access to the system.
