All Customer Data passing through Hosted Licenced Property is stored by AvePoint in a siloed database which is neither accessible by nor communicates with other AvePoint Servers.
If there is a geographic region indicated on the applicable Order or the website where Customer registers for the Hosted Licenced Property, the Customer Data and all operations will reside and execute from the geographic region's data center.
AvePoint warrants that the Hosted Licenced Property shall have an uptime of not less than 99.5% per month (resulting in a Downtime of not more than 3 hours and 39 minutes per month) (the "SLA").
If Customer purchases a new Licence for the same Hosted Licenced Property prior to the end of the Retention Period, Customer Data shall remain available to Customer.

AvePoint shall make the functionality of the Hosted Licenced Property available to Customer pursuant to this Agreement and shall use commercially reasonable efforts to make the SaaS Services available at the gateway between the public internet and the network of the Cloud Services Provider, except for: (i) scheduled Downtime (of which AvePoint shall, to the extent practicable, schedule so as not to adversely affect Customer's business); and (ii) as set forth in the Agreement and herein.
Subject to the observance by Customer of the terms and conditions of this Agreement, AvePoint hereby grants to Customer and Customer hereby agrees to pay for a non-exclusive, non-transferable (except as set forth in Section 12.5) licence to use the Licenced Property as set out in the applicable Order solely for Customer's Internal Use in accordance with the limitations as set forth on the applicable Addendum hereto (the “Licence”).
Customer agrees that the Software and all associated trade secrets, including but not limited to the Licenced Property, its configurations, architecture, communications and performance benchmarks, are the exclusive property of AvePoint.
Notwithstanding the foregoing, if the Parties determine that the Hosted Licenced Property had an uptime of less than 99.0 % (resulting in a Downtime of more than 7 hours and 18 minutes) in a specific month, the Customer shall, as an exclusive remedy, be entitled to a Service Credit of twenty per cent (20%) of the fees applicable for that specific month.
Unless otherwise agreed with Customer, AvePoint shall provide an electronic link to make available to Customer the Licenced Property by electronic download and licence key to activate the Licenced Property.
