The parties hereto agree that a final judgment in any such action or proceeding shall be conclusive and may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by applicable Law.
Except as required by applicable Law (including the filing of a Schedule 13D with the SEC which may include this Agreement as an exhibit thereto), each Stockholder shall not, and shall direct its Representatives not to, make any public announcement regarding this Agreement, the Merger Agreement or the transactions contemplated hereby or thereby without the prior written consent of Parent (such consent not to be unreasonably withheld).

Any such termination shall be without liability of any party to any other party except that the provisions of Section 3(g) (Payment of Expenses), Section 5 (Indemnification and Contribution), Section 6 (Representations and Agreements to Survive Delivery), Section 12 (Governing Law) and Section 16 (Waiver of Jury Trial) hereof shall remain in full force and effect notwithstanding such termination.
No circumstance exists or event has occurred with respect to a violation of any Health Care Law that could reasonably be expected to have a Material Adverse Effect.
