Lab System definition

Lab System means a Cisco Digital Broadband Delivery System or Internet Protocol Television Service Delivery Platform system that is used for internal testing or application development, and is limited in size to typically no more than 250 set-tops, cable cards or other applicable devices.
Lab System means the “Lab System” acquired by Lam from Company pursuant to the Asset Purchase Agreement dated November [*], 2012 between Lam and Company, as such term is defined therein.

  • Company further agrees, during the Transition Period, to maintain the Lab System and all related facilities, utilities, power and other connections in good working order and to operate the Lab System at Xxx’x direction free of charge, other than reimbursement of Company’s actual, documented costs of wafers, consumable parts and other operating expenses, provided that such expenses are pre-approved by Xxx prior to being incurred.

  • In the event the condition of the Lab System is not in good working order as of the Effective Date, Company agrees to perform all necessary repairs, replacements and updates, at no additional expense to Xxx for either services or parts, in order to restore the Lab System to good working order.
