Knowledge of the Stockholders definition

Knowledge of the Stockholders means the actual knowledge of the Stockholders.

Knowledge of the Stockholders or any similar phrase means, with respect to any fact or matter, the actual knowledge of the individuals set forth on Schedule 1.1(a) of the Stockholders’ Disclosure Schedule, together with such knowledge that such individuals would reasonably be expected to discover after due investigation concerning the existence of the fact or matter in question.

Knowledge of the Stockholders or “Stockholders’ Knowledge” means the actual knowledge of any of the Stockholders and the knowledge that such individuals reasonably should have obtained in the diligent performance of his or her normal functions as a Stockholder of the Company.

• To the Knowledge of the Stockholders, the Company has no plan or intention to sell or issue, or authorize, any additional shares of Class A Common or any other Equity Interests.

More Definitions of Knowledge of the Stockholders

Knowledge of the Stockholders means the actual knowledge of each Stockholder that is reasonable for a person in the position of the Stockholders in the Company’s industry with a similar level of resources.

Knowledge of the Stockholders or "to the Stockholders' knowledge" and similar references to the knowledge of the Stockholders shall mean the actual knowledge after due inquiry of all executive officers and senior managers of the Company and its Subsidiaries.
