Knowledge of the Seller definition

Knowledge of the Seller means the actual knowledge of (i) the chairman of the board of directors of the Seller, (ii) the chief executive officer of the Seller or (iii) the chief financial officer of the Seller, in each case, as such positions are held as of the date hereof, in their capacity as office holders of the Seller.
Knowledge of the Seller means the actual knowledge of Xxxxxx X. Xxxxxx.
Knowledge of the Seller means the knowledge obtained or obtainable after due inquiry by any officer or director of the Seller;

More Definitions of Knowledge of the Seller

Knowledge of the Seller means any matter, fact, or thing that is, as of the date hereof or the Closing Date, actually known to the Seller.
Knowledge of the Seller means the Seller’s or any of the Company’s officers’ or employees’ (i) actual knowledge; (ii) knowledge that would have been obtained upon reasonable due care; or (iii) knowledge that they should have had in performing the duties of their office.

Knowledge of the Seller means, with respect to any matter in question, the actual knowledge of the Persons set forth on Schedule I, in each case, after reasonable inquiry.
Knowledge of the Seller or similar terms used in this Agreement mean the actual knowledge, following due inquiry, of the Persons listed in Exhibit 1.01(b) as of the date of this Agreement (or, with respect to a certificate delivered pursuant to this Agreement, as of the date of delivery of such certificate).
