To the Knowledge of the Seller, there are no existing grounds on which any such action, suit, claim or proceeding might be commenced with any reasonable likelihood of success.
Except for list of judicial proceedings set forth in Schedule 2.5, there are no outstanding labour inspections, actions, suits, claims or proceedings pending or, to the Knowledge of the Seller, threatened against or adversely affecting, or which could adversely affect, the Company or its assets, whether or not insured.
