Examples of Knowledge of the Company in a sentence
There are no existing material defaults (or, to the Knowledge of the Company, circumstances, occurrences, events or acts that, with the giving of notice or lapse of time or both would become material defaults) of the Company or, to the Knowledge of the Company, any other party thereto, under any Material Contract.
There has not been, and to the Knowledge of the Company, there is not pending or contemplated, any investigation by the SEC involving the Company or any current or former director or officer of the Company that is likely to lead to action that can reasonably be expected to result in a Material Adverse Effect.
No claim will be made or enforced by the Company or, to the Knowledge of the Company, any other Person that Purchaser is an “Acquiring Person” under any stockholders rights plan or similar plan or arrangement in effect or hereafter adopted by the Company, or that Purchaser could be deemed to trigger the provisions of any such plan or arrangement, by virtue of receiving Preferred Shares under the Transaction Documents or under any other agreement between the Company and Purchaser.
Schedule 3.12 contains a list of all past, pending and, to the Knowledge of the Company threatened Proceedings, or material Client complaints against partner, shareholder, manager, director, officer, employee or consultant thereof, in each case which have been brought or made since January 1, 2021.
To the Knowledge of the Company, there are no circumstances reasonably likely to lead to any Proceeding, inquiries or material Client complaint involving the Company.
