Examples of Knowledge of the Buyer in a sentence
Neither the Buyer, nor to the Knowledge of the Buyer, any of its Affiliates, is a party to any Contract to build, develop, acquire or operate any water utility facility, or otherwise owns assets or is engaged in a business, that would reasonably be expected to materially impair or prevent the Closing (including materially impairing or preventing any Governmental Entity’s granting of a Permit).
There are no Legal Proceedings pending or, to the Knowledge of the Buyer, threatened against or otherwise relating to the Buyer that would, individually or in the aggregate, reasonably be expected to have a material adverse effect on the Buyer’s ability to perform its obligations hereunder.
