Knowledge of the Buyer definition

Knowledge of the Buyer means, as to a particular matter, the actual knowledge, after reasonable inquiry, of the following persons at the Buyer: Xxxxx Xxxx, Xxxxx Xxxxxxx, Xxxxx Xxxxxxx, Xxxxxx Xxxxx, X.X. Xxxxxxx, and Xxxx Xxxxx.

Knowledge of the Buyer means the actual personal knowledge of any of the directors and officers of the Buyer or the Buyer Bank or any of their Subsidiaries.

Knowledge of the Buyer means the actual knowledge of any one or more of the Persons listed in Section 1.1 of the Buyer Disclosure Schedules as of the date of this Agreement (or, with respect to a certificate delivered pursuant to this Agreement, as of the date of delivery of such certificate) and the knowledge such individuals would have acquired after reasonable inquiry.

Examples of Knowledge of the Buyer in a sentence

• Neither the Buyer, nor to the Knowledge of the Buyer, any of its Affiliates, is a party to any Contract to build, develop, acquire or operate any water utility facility, or otherwise owns assets or is engaged in a business, that would reasonably be expected to materially impair or prevent the Closing (including materially impairing or preventing any Governmental Entity’s granting of a Permit).

• There are no Legal Proceedings pending or, to the Knowledge of the Buyer, threatened against or otherwise relating to the Buyer that would, individually or in the aggregate, reasonably be expected to have a material adverse effect on the Buyer’s ability to perform its obligations hereunder.

• Health, education and finance sector data is imported at federal level and made available at all levels.

• Except as set forth on Schedule 5.16, there are no Legal Proceedings pending or, to the Knowledge of the Buyer, threatened, against or involving the Vanguard Entities that, individually or in the aggregate, are reasonably likely to have a Vanguard Material Adverse Effect.

• Buyer (including to the best of the Knowledge of the Buyer any Person for whom Buyer will hold the Subject Common Units) is an Eligible Holder (as that term is defined in the Partnership Agreement).

More Definitions of Knowledge of the Buyer

Knowledge of the Buyer means the actual knowledge (without independent investigation) of any of the individuals whose names are set forth on Section 1.1(a) of the Buyer Disclosure Letter.

Knowledge of the Buyer or “Known to the Buyer” shall mean actual knowledge of the Persons listed on Section 1.1 of the Buyer Disclosure Schedule.

Knowledge of the Buyer means a fact, event, circumstance, or occurrence within the “Knowledge of the Buyer” if such fact, event, circumstance, or occurrence is or was actually known by Xxxx Xxxxx, Xxxxxx Xxxxxx, Xxxxxx Xxx, Xxxxxxxxx Xxxxxxxx, Xxx Xxxxxxxxx, Xxxx Xxxxxxxx, Xxxxx Xxxxxx, Xxxxxx Xxxx, Xxxxxxxx Xxxxx, or Xxxxxx Xxxxx.

Knowledge of the Buyer means the actual knowledge of the persons listed on Schedule 1.01 under the heading “Knowledge of the Buyer”.

Knowledge of the Buyer means any matter, fact, or thing that is, as of the date hereof or the Closing Date, actually known to Buyer.

Knowledge of the Buyer means the actual knowledge of the individuals listed on Schedule 1.4 A to the Disclosure Letter.

Knowledge of the Buyer means the actual knowledge (without inquiry) of the individuals listed on Schedule 1.1(e).
