Knowledge of Parent definition

Knowledge of Parent means the actual knowledge of the individuals identified on Section 8.11 of the Parent Disclosure Letter.

Knowledge of Parent means, with respect to any matter in question, the actual knowledge of Parent's executive officers.

Knowledge of Parent means the actual knowledge, after reasonable due inquiry, of the individuals listed on Section 1.1(a) of the Parent Disclosure Letter as of the Date of Delivery.

• There is no judgment, decree, injunction, rule or order of any Governmental Authority or arbitrator outstanding against, or, to the Knowledge of Parent, investigation by any Governmental Authority involving, Parent or any of its Subsidiaries or any of their respective properties or assets that has had or would reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effect on Parent.

• There is no pending or, to the Knowledge of Parent, threatened, Claims against Parent, US Parent, Merger Sub or any of their respective Subsidiaries, nor is there any Judgment imposed upon Parent, US Parent, Merger Sub or any of their respective Subsidiaries, in each case, by or before any Governmental Authority, that would reasonably be expected to have a Parent Material Adverse Effect.

• There are no pending or, to the Knowledge of Parent, threatened Actions before any Governmental Entity to which Parent or any of its Subsidiaries is a party or any Action by any Governmental Entity against Parent or involving Parent or any of its Subsidiaries, in each case that would reasonably be expected to, individually or in the aggregate, prevent Parent or Merger Sub from consummating the Merger and the other transactions contemplated by this Agreement by the Outside Date.

• The Parent Registration Statement shall have been declared effective by the SEC under the Securities Act and no stop order suspending the effectiveness of the Parent Registration Statement shall be in effect and no proceeding for such purpose shall be pending before or, to the Knowledge of the Company or the Knowledge of Parent, threatened by the SEC.

More Definitions of Knowledge of Parent

Knowledge of Parent means the actual knowledge, after reasonable investigation, of Xxxxxxx X. Xxxxx, Xxxxxxx X. Xxxxxx or Xxxx Xxxxxxx.

Knowledge of Parent or “Parent’s Knowledge” or “Known to Parent” means the actual knowledge, after reasonable inquiry, of any director, employee or officer of Parent, Merger Sub, any Consortium Member or their respective Affiliates or any Rollover Shareholder who is an employee or director of the Company.
