Accordingly, for each day of delay with respect to any Key Milestone Date or any Go-Live Date that, as between Contractor and the AOC, is not caused solely by the AOC, the AOC shall have the right to deduct from the amounts payable hereunder the costs and expenses actually incurred by the AOC Group arising out of or related to the Contractor’s delay from the amount due from the AOC to Contractor hereunder.
Nothing in this Section, including the continued effort by Contractor after the Key Milestone Date for Substantial Completion to achieve the Guaranteed Capacity, shall preclude or otherwise prejudice Owner from assessing Delay Liquidated Damages in accordance with Article 13 or from terminating this Agreement, or pursuing any other rights or remedies, as a result of a Contractor Default under Section 22.2(f).
Such Remedial Plan shall include the period of time in which Contractor proposes to complete the corrective actions, which period of time shall not extend beyond the Key Milestone Date for Substantial Completion without the prior written approval of Owner, which approval may be withheld by Owner in its discretion.
If the Service Provider's failure to meet a Key Milestone Date (for any reasons other than as a result of a Service Provider Relief Event) continues for a continuous period in excess of thirty (30) days then without prejudice to any other rights or remedies which the University may have under this Agreement or at law, the University shall be entitled to terminate this Agreement in accordance with Clause 32.1.5.
Without limiting the generality of the foregoing, Contractor shall execute the entire Work in a manner that will enable Contractor to achieve Substantial Completion no later than its Key Milestone Date.
