Key Management Employee definition

Key Management Employee means a management employee of the Company or a Subsidiary (i) who has significant policymaking responsibilities, and (ii) whose current base salary at the time an Award is issued is among the highest two percent (2%) of the current base salaries of all the employees of the Company or any Subsidiary, all as determined by the Committee.
Key Management Employee means an individual who is designated by the Company as a Division Employee or Corporate Employee of the Company or its subsidiaries or affiliates whose Grade is at or higher than 17 or who is designated as eligible for participation at the discretion of the COO.
Key Management Employee means an officer or management employee of an EIX Company whose participation as such has been approved by the Committee or the EIX Company and who has not been determined to be an Executive Officer of Edison International pursuant to Section 16 of the Securities Exchange Act of 1934, as amended.
