Key Employees definition

Key Employees means each of the following individuals: Xxx Xxxxxxx, Xxxxx Xxxxxxxx, Xxxxx Xxxxxx and Xxxxx Xxxxxxx.

Examples of Key Employees in a sentence

  • Awardee represents and warrants that neither it nor any of its Key Employees are restricted in any manner by any law, rule, regulation or contract from performing: (i) the terms of this Agreement; (ii) the Terms and Conditions; (iii) its Business Plan; (iv) the Warrant, (v) owning or using its assets; (vi) the Target Milestones; (vii) the Engagement requirements; or (viii) the Relocation requirements (collectively the “Obligations”).

  • There shall not exist any action, suit, investigation, litigation or proceeding or other legal or regulatory developments, pending or threatened (in writing) in any court or before any arbitrator or Governmental Authority with respect to any of the Credit Parties, any of the Key Employees or the transactions contemplated by the Credit Documents, that would reasonably be expected to have a Material Adverse Effect.


More Definitions of Key Employees

Key Employees means key officers or employees as set forth in Exhibit C hereto.
Key Employees means and include the president, chief executive officer, chief financial officer, chief operating officer, chief technology officer, and any senior vice president of operations, finance, research, development, or sales or marketing.
Key Employees shall include (i) all current Key employees, and (ii) all persons who were employed by Key at any time during the six (6) month period prior to my termination from Key.
Key Employees means the Company Employees listed on Schedule A-1.
Key Employees means any executive, managerial, sales, marketing, or supervisory level employees of the Company Group under Executive’s direct or indirect management authority during the Final Year.
Key Employees shall have the meaning as set forth in Section 9.07.
Key Employees means employees, including officers, whether Directors or not, and including both full-time and part-time employees of the Company or any Subsidiary who, by the nature of their positions or jobs are, in the opinion of the Board, in a position to contribute to the success of the Company;
