Junior Warrants definition

Junior Warrants means an aggregate of 1,630,437 detachable redeemable common stock warrants issued to the holders of the Seller Subordinated Notes.
Junior Warrants means the First Note Warrants and the Second Note Warrants.
Junior Warrants means the Warrants, substantially in the form of Exhibit E to the Securities Purchase Agreement, issued by the Company to each of the S-O LLC, SOMC, Exeter and Larkspur.

More Definitions of Junior Warrants

Junior Warrants means the warrants, substantially in the form of Exhibit E hereto, to be acquired by the S-O LLC, SOMC, Exeter and Larkspur Capital Corporation in connection with the transactions contemplated hereby, entitling the holders thereof to purchase initially up to an aggregate 28,440 shares of Common Stock, as such number may be adjusted from time to time in accordance with the terms thereof.
Junior Warrants means an aggregate of 1,630,437 detachable redeemable common stock warrants issued on August 29, 2008, to be purchased and canceled by the Company on the Issue Date.
Junior Warrants means an aggregate of 1,080,437 detachable redeemable common stock warrants issued to the holders of the Junior Subordinated Notes.

Related to Junior Warrants

  • Investor Warrants has the meaning given it in the recitals of this Agreement.

  • Sponsor Warrants shall have the meaning given in the Recitals hereto.

  • Purchaser Warrants means Purchaser Private Warrants and Purchaser Public Warrants, collectively.

  • Junior Shares means the Common Shares and any other class or series of shares of beneficial interest of the Trust now or hereafter issued and outstanding over which the Series 1 Preferred Shares has preference or priority in the payment of dividends or in the distribution of assets on any liquidation, dissolution or winding up of the Trust.

  • Series D Warrants means, collectively, the Series D Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to 5 years, in the form of Exhibit C attached hereto

  • Series C Warrants means, collectively, the Series C Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to 9 months, in the form of Exhibit A attached hereto.

  • Preferred Shares means shares of Series A Junior Participating Preferred Stock, par value $.01 per share, of the Company having the rights and preferences set forth in the Form of Certificate of Designations attached to this Agreement as Exhibit A.

  • Parent Warrants means the outstanding warrants to purchase Parent Common Stock.

  • Junior Units means any Partnership Unit representing any class or series of Partnership Interest ranking, as to distributions, or rights upon voluntary or involuntary liquidation, dissolution or winding up of the Partnership, junior to Series A Preferred Units.

  • Series A Shares means the Company’s Series A Preferred Stock, par value $0.01 per share.

  • Series F Preferred Stock means shares of the Company’s Series F Preferred Stock, par value $0.0001 per share.

  • Existing Warrants means any warrants to purchase Common Stock outstanding on the date of this Agreement.

  • Rights Offering Shares means, collectively, the shares of New Common Stock issued in the Rights Offering.

  • Existing Preferred Stock means, collectively, the outstanding shares of the Series E 6% Convertible Preferred Stock of the Corporation.
