The Parties shall take all steps (including passing all resolutions) necessary to implement the governance matters set out in Schedule F, including by providing any information required by Law for inclusion in the Joint Circular in a timely manner.
Any such committee, to the extent permitted by law and to the extent provided in the resolution of the Board of Directors, shall have and may exercise all the powers and authority of the Board of Directors in the management of the business and affairs of the corporation.

If the Joint Circular has been sent to the shareholders of the Party prior to the expiry of the five business day period set forth in this Section 3(a) and, during such period, the Other Party requests in writing that the special meeting of shareholders proceed, unless otherwise ordered by a court, the Party shall continue to take all reasonable steps necessary to hold its special meeting and to cause the Transaction to be voted on at such meeting.
