Joint Circular definition

Joint Circular means the management information circular sent to Vasogen Shareholders and IPC US Shareholders, as applicable in connection with the applicable meeting of shareholders, as amended, supplemented or otherwise modified.

Joint Circular means the management information circular of Lynden, including all schedules, appendices and exhibits attached thereto, and the notice of meeting and proxy form to be sent by Lynden to the Lynden Securityholders soliciting their approval of the Arrangement Resolution, including any amendments or supplements thereto and the Schedule 14(c) information statement of Earthstone;

Joint Circular means the notice of the Agnico Meeting and the notice of the Xxxxxxxx Meeting to be sent to the Agnico Shareholders and the Xxxxxxxx Shareholders, respectively, and the accompanying joint management information circular, including all schedules, appendices and exhibits to, and information incorporated by reference into, such management information circular, to be prepared by the Parties and sent to Agnico Shareholders and Xxxxxxxx Shareholders, respectively, in connection with the Agnico Meeting and the Xxxxxxxx Meeting, as amended, supplemented or otherwise modified from time to time in accordance with the terms of this Agreement.

• The Parties shall take all steps (including passing all resolutions) necessary to implement the governance matters set out in Schedule F, including by providing any information required by Law for inclusion in the Joint Circular in a timely manner.

• Any such committee, to the extent permitted by law and to the extent provided in the resolution of the Board of Directors, shall have and may exercise all the powers and authority of the Board of Directors in the management of the business and affairs of the corporation.

• The Petrofund Parties shall use their reasonable commercial efforts to obtain and furnish to the Ultima Parties such information regarding the Petrofund Parties reasonably required to be included in the Joint Circular on or before April 19, 2004.

• If the Joint Circular has been sent to the shareholders of the Party prior to the expiry of the five business day period set forth in this Section 3(a) and, during such period, the Other Party requests in writing that the special meeting of shareholders proceed, unless otherwise ordered by a court, the Party shall continue to take all reasonable steps necessary to hold its special meeting and to cause the Transaction to be voted on at such meeting.
