Unless otherwise provided in connection with a Purchase Commitment, neither Guarantor nor Seller shall attempt to resell, reassign, retransfer or otherwise dispose of, or grant any option with respect to, or pledge or otherwise encumber (except pursuant to this Agreement or any Joint Securities Account Control Agreement and any Joint Account Control Agreement) any of the Purchased Assets or other Purchased Items or any interest therein.
In addition, unless the transaction is subject to any Joint Securities Account Control Agreement, any Joint Account Control Agreement and/or any Escrow Agreement, Guarantor shall deliver to Buyer or its designee a duly executed Trade Assignment, as applicable, together with a true and complete copy of the Purchase Commitment with respect to the related Mortgage-Backed Security in accordance with and pursuant to the terms of Sections 7.2(e) and 7.2(p).
