Issuer Transaction Documents definition

Issuer Transaction Documents means, in relation to the First Issuer, the Second Issuer and the Third Issuer, the First Issuer Transaction Documents, the Second Issuer Transaction Documents and the Third Issuer Transaction Documents and in relation to any New Issuer, the Current Issuer Transaction Documents as defined in the Issuer Master Definitions Schedule relating to that Issuer;

Issuer Transaction Documents means the following documents to which the Issuer is a party (taking account of the fact that certain documents will only be entered into and/or be effective after the date hereof):

Issuer Transaction Documents means the Issuer Programme Transaction Documents and the Issuer Series Transaction Documents and "Issuer Transaction Document" means any one of them;

• Save as otherwise provided in this Agreement, the Issuer Cash Manager shall have no liability for the obligations of either the Issuer Security Trustee or the Issuer under any of the Issuer Transaction Documents or otherwise and nothing in this Agreement shall constitute a guarantee, or similar obligation, by the Issuer Cash Manager of either Funding 1, the Issuer Security Trustee or the Issuer in respect of any of them.

• The Issuer Cash Manager hereby covenants that it shall establish the Additional Issuer Account, the Issuer Swap Collateral Account and the Issuer GIC Account immediately upon the same becoming necessary pursuant to the terms of the Issuer Transaction Documents.

• For the avoidance of doubt, and in connection with the powers conferred under Clause 2.1, save as expressly provided elsewhere in this Agreement, nothing in this Agreement shall be construed so as to give the Issuer Cash Manager any powers, rights, authorities, directions or obligations other than as specified in this Agreement or any of the other Issuer Transaction Documents.

• The Issuer Security Trustee holds all of the covenants, undertakings, Security Interests and other rights and benefits made or given under this Deed and the other Issuer Transaction Documents on trust for itself and the other Issuer Secured Creditors upon and subject to the terms and conditions of this Deed.

• For the avoidance of doubt and in connection with the powers conferred under Clause 2.1, save as expressly provided elsewhere in this Agreement, nothing in this Agreement shall be construed so as to give the Issuer Cash Manager any powers, rights, authorities, directions or obligations other than as specified in this Agreement or any of the other Issuer Transaction Documents.

Issuer Transaction Documents means the Bonds and any Final Terms relating to the Bonds, the Bond Trust Deed, the Dealership Agreement, each Relevant Subscription Agreement, the Agency Agreement, the Issuer Deed of Charge, the Obligor Floating Charge Agreement, the Issuer Cash Management Agreement, the Issuer Account Bank Agreement, the Common Terms Agreement, the STID, the Master Definitions Agreement, each Borrower Loan Agreement, each Issuer Liquidity Facility Agreement, each Issuer Hedging Agreement, each Financial Guarantee, the G&R Deed, each Financial Guarantee Letter, each Indemnification Deed, each BAA Bond Guarantee, the Issuer Corporate Administration Agreements and any other agreement, instrument or deed designated as such by the Issuer and the Bond Trustee.

Issuer Transaction Documents means, in relation to: (a) the First Issuer, the Second Issuer and the Third Issuer, the First Issuer Transaction Documents, the Second Issuer Transaction Documents and the Third Issuer Transaction Documents, respectively; (b) any other Funding Issuer, the Current Issuer Transaction Documents as defined in the Issuer Master Definitions Schedule relating to such Funding

Issuer Transaction Documents means the Trust Deed, the Issuer Deed of Charge, the Servicing Agreement, the Cash Management Agreement, the Issuer Account Bank Agreement, the Loan Sale Documents, the Liquidity Facility Agreement, the Agency Agreement, the Subscription Agreement, the Corporate Services Agreement, the Master Definitions Schedule and any other document designated as such by the Issuer and the Trustee.
