Issued Stock definition

Issued Stock means all shares of Common Stock issued upon the proper exercise of an Option.
Issued Stock as used in this Agreement shall include all shares of Common Stock of the Company purchased by the Management Stockholder pursuant to this Agreement and issued to the Management Stockholder by the Company upon exercise of the Options and of any other stock options held by the Management Stockholder.
Issued Stock means (i) all shares of Common Stock issued upon the proper exercise of an Option and (ii) all shares of Common Stock issued with respect to the Common Stock referred to in clause (i) above by way of stock dividend or stock split or in connection with any conversion, merger, consolidation or recapitalization or other reorganization affecting the Common Stock. Unless provided otherwise herein or in the Participant's Option Agreement, Issued Stock will continue to be Issued Stock in the hands of any holder other than the Participant (except for the Company), and each such transferee thereof will succeed to the rights and obligations of a holder of Issued Stock hereunder.

  • The Issued Stock shall not be subject to levy and execution, attachment or similar process.
