Issue Supplement definition

Issue Supplement. Any one or more physical or electronic documents or records (signed or unsigned) prepared by the Issuer as provided in Section 3.1, that, together with this Trust Agreement, documents the establishment of a Trust, as such documents or records may be amended, modified or supplemented from time to time. An Issue Supplement may be comprised of a document or record in one of the forms appended to this Trust Agreement as Exhibits A through F, or such other form as the Issuer may designate from time to time. Issuer: Xxxxxx Xxx, in its capacity as sponsor of each issuance of Certificates and settlor of each of the Trusts, or any successor or assign that assumes the responsibilities specified for this capacity in the Trust Documents. Kroll: Xxxxx Bond Rating Agency, Inc. or its successor.
Issue Supplement. An instrument executed by the parties hereto pursuant to Section 2.01 which supplements this Trust Agreement and identifies and establishes, among other things, a particular Trust Fund and a particular Series of Certificates related to such Trust Fund.
Issue Supplement as defined in the I-Trust Master Trust Agreement.

Examples of Issue Supplement in a sentence

  • If for any reason the creation of an Issue Supplement is delayed, the Issuer will create one as soon as practicable, and such delay will not affect the validity or existence of the Trust or the related Certificates.

  • Holders will have no right to a definitive Certificate, unless otherwise provided in the related Issue Supplement.

  • As to any Trust, only this Trust Agreement, the related Issue Supplement and any Amendment related to either of them.

  • Capitalized terms in this Issue Supplement have the meanings given to them in the Trust Agreement.

  • If a definitive or temporary Certificate is used, the form of the Certificate, including denominations, as well as the necessary procedures for the registration, transfer, exchange and replacement of the Certificates, and, if applicable, conversion to book-entry form, will be provided in the Issue Supplement.

  • The collective terms of the Trust Agreement and this Issue Supplement govern the composition of the Pool identified by the Pool Number appearing above, the issuance and administration of Certificates related to the Pool, and all matters related to the related Trust, and have no applicability to any other Pool or Trust.

  • If there is any inconsistency between these conditions and Issue Supplement, the Issue Supplement prevails.

  • Amendment: A document that amends or supplements either this Trust Agreement or an Issue Supplement.

  • The classes of Notes rank against each other in the order set out in the Issue Supplement.

  • The Issuer will identify the related Mortgage Loans on a Mortgage Loan Schedule attached to or otherwise made part of the related Issue Supplement.


More Definitions of Issue Supplement

Issue Supplement means an integral part of these Terms of Issue, constituting Annex 1 to the Terms of Issue, specifying the detailed parameters of the issue of the Bonds, and together with the Terms of Issue, a single document.

LIBOR: The London interbank offered rate for one-month United States dollar deposits established by Xxxxxx Mae or the Paying Agent on each Index Determination Date for all LIBOR Floating Rate Classes pursuant to Section 4.04 hereof. LIBOR shall be determined on the basis of the method specified in the related Prospectus Supplement.

Related to Issue Supplement

  • Series Supplement The agreement into which this Standard Terms is incorporated and pursuant to which, together with this Standard Terms, a Series of Certificates is issued.

  • Issue Size means the total number of equity securities offered to the Accredited Investors;

  • Indenture Supplement means the Amended and Restated Indenture Supplement for the DiscoverSeries Notes, dated as of June 4, 2010, by and between the Issuer and the Indenture Trustee, as the same may be further amended, supplemented, restated, amended and restated, replaced or otherwise modified from time to time.

  • Supplemental contract means a written agreement entered into for the distribution of proceeds under a life, health, or annuity policy or contract.

  • Joinder Supplement An agreement among the Borrower, a Lender and the Administrative Agent in the form of Exhibit H to this Agreement (appropriately completed) delivered in connection with a Person becoming a Lender hereunder after the Closing Date, as contemplated by Section 2.1(c), a copy of which shall be delivered to the Collateral Agent and the Collateral Manager.

  • Supplementary Agreement means the agreement of which a copy is set out in the Fifth Schedule;

  • Pledge Supplement means any supplement to this agreement in substantially the form of Exhibit A.

  • Transfer Supplement has the meaning set forth in Section 6.3(c) of this Agreement.

  • Pricing Supplement means the pricing supplement included as Annex A to the Series Instrument.

  • Medicare supplement policy means a group or individual policy of [accident and sickness] insurance or a subscriber contract [of hospital and medical service associations or health maintenance organizations], other than a policy issued pursuant to a contract under Section 1876 of the federal Social Security Act (42 U.S.C. Section 1395 et. seq.) or an issued policy under a demonstration project specified in 42 U.S.C. § 1395ss(g)(1), which is advertised, marketed or designed primarily as a supplement to reimbursements under Medicare for the hospital, medical or surgical expenses of persons eligible for Medicare. “Medicare supplement policy” does not include Medicare Advantage plans established under Medicare Part C, Outpatient Prescription Drug plans established under Medicare Part D, or any Health Care Prepayment Plan (HCPP) that provides benefits pursuant to an agreement under §1833(a)(1)(A) of the Social Security Act.

  • the Second Supplementary Agreement means the Second Supplementary Agreement, a copy of which is set out in Schedule 3;

  • Country Supplement means a supplement to this Prospectus specifying certain information pertaining to the offer of Shares of the Company or a Fund or Class in a particular jurisdiction or jurisdictions.

  • Certificate of Amendment means the Certificate of Amendment to Amended and Restated Certificate of Incorporation of the Company, substantially in the form attached to this Agreement as Exhibit A.

  • Schedule Supplement has the meaning set forth in Section 6.03.

  • Subsidiary Joinder Agreement means a joinder to this Agreement, substantially in the form of Exhibit C.

  • Perfection Certificate Supplement means a certificate supplement in the form of Exhibit G-2 hereto or any other form approved by the Collateral Agent.

  • Supplement means the supplemental terms and conditions that apply to the Cloud Service and that are incorporated in an Order Form.

  • Amending Agreement means the Agreement of which a copy is set out in the Third Schedule to the Iron Ore (Hamersley Range) Agreement Xxx 0000 (which Agreement was approved by the Iron Ore (Hamersley Range) Agreement Act Amendment Act 1968);

  • Servicing Supplement means the 2018-B Servicing Supplement, dated as of the Cutoff Date, to the Servicing Agreement.

  • Issue Terms means either (i) where the Securities are not Exempt Securities, the relevant Final Terms or (ii) where the Securities are Exempt Securities, the relevant Pricing Supplement, in each case, as described below.

  • Designation Agreement means a designation agreement in substantially the form of Exhibit G attached hereto, entered into by a Bank and a Designated Lender and accepted by the Administrative Agent.

  • Borrower Joinder Agreement means a Borrower Joinder Agreement substantially in the form of Exhibit B-1.

  • Certificate Purchase Agreement The Purchase Agreement, dated as of [_______], among the Depositor and the Initial Purchasers, relating to the Privately Offered Certificates.

  • Guaranty Joinder Agreement means each Guaranty Joinder Agreement, substantially in the form thereof attached to the Guaranty, executed and delivered by a Subsidiary to Administrative Agent pursuant to Section 6.14.

  • Cross-Series Modification means a modification involving (i) the Bonds or any agreement governing the issuance or administration of the Bonds, and (ii) the debt securities of one or more other series or any agreement governing the issuance or administration of such other debt securities.

  • Lender Joinder Agreement as defined in Subsection 2.8(c).
