Hotel shall defend, indemnify, and hold City harmless from and against any and all Claims arising from Hotel’s breach of Hotel’s obligations under this Agreement, except to the extent that such indemnity is void or otherwise unenforceable under applicable law, and except to the extent such Claim was caused by the gross negligence or willful misconduct of the City or its Invitees, in which case damages shall be apportioned pro rata under the California doctrine of comparative fault.
The parties agree and understand that the City or Equestrian Center are not responsible for any property damage, theft, loss or injury to the School or its Invitees or their vehicles, that may occur as a result of use of the Heather Farm parking lot(s) pursuant to this License Agreement.
The School understands that if the City receives complaints of excessive speeding and/or other moving violations associated with the School or its Invitees, the City reserves the right to terminate this Agreement.
It is anticipated that all Invitees will abide by the posted speed limits imposed on North San ▇▇▇▇▇▇ Drive located within Heather Farm Park and the School agrees to regularly request its Invitees adhere to such speed limits.
In the event that the City's Public Works Director determines that the School and its Invitees should not continue to use the unimproved lot at the Equestrian Center facility in the rainy months, City staff shall contact the School to coordinate alternative parking at alternative parking areas within Heather Farm Park.
