Investor Warrant definition

Investor Warrant has the meaning assigned to such term in the recitals.

Investor Warrant is defined in the recitals to this Agreement and, in addition, includes (i) any new warrant or warrants issued upon the transfer of all or any portion of the Investor Warrant issued pursuant to the Stock Purchase Agreement and/or Investor Note Purchase Agreement and (ii) any warrant or warrants issued upon the further transfer, division or combination of any such new warrant or warrants.

Investor Warrant means the Warrants issued by the Corporation on the Effeictve Date to each Holder as of such date.

Examples of Investor Warrant in a sentence

• The Company shall honor exercises of the Investor Warrants and shall deliver Investor Warrant Shares in accordance with the terms, conditions and time periods set forth in the Transaction Documents.

• The Company shall provide the Holder with prompt written notice of all actions taken pursuant to this Investor Warrant, including in reasonable detail a description of such action and the reason therefor.

• In addition, nothing contained in this Investor Warrant shall be construed as imposing any liabilities on the Holder to purchase any securities (upon exercise of this Investor Warrant or otherwise) or as a stockholder of the Company, whether such liabilities are asserted by the Company or by creditors of the Company.

• The Company therefore agrees that, in the event of any such breach or threatened breach, the holder of this Investor Warrant shall be entitled, in addition to all other available remedies, to an injunction restraining any breach, without the necessity of showing economic loss and without any bond or other security being required.

• The headings of this Investor Warrant are for convenience of reference and shall not form part of, or affect the interpretation of, this Investor Warrant.

More Definitions of Investor Warrant

Investor Warrant means any of the warrants issued by the Company pursuant to the Purchase Agreement.
