Investor Package definition

Investor Package means, collectively, (i) copies of (A) this Agreement, the Master Agreement and each of the exhibits and schedules hereto and thereto, (B) the Interest Contribution Agreements (or similar agreements) with respect to each of the other properties to be transferred to ATA Holdings pursuant to the transactions contemplated by the Master Agreement and (C) the Securities Purchase Agreement by and among ATA, 2335887 Limited Partnership, XxXxxxxxx Real Estate Investment, LLC, Elco Landmark Residential Holdings LLC and the other parties thereto, in each case, including each of the exhibits and schedules thereto, (ii) copies of ATA’s Annual Report on Form 10-K for the year ended December 31, 2011, , 2012 Annual Proxy Statement, and Quarterly Reports on Form 10-Q and Current Reports on Form 8-K filed with or furnished to the SEC since the filing date of ATA’s Annual Report on Form 10-K and on or prior to the date hereof, and (iii) a pro forma capitalization table as of the date hereof showing the consolidated, fully diluted equity and debt capitalization of ATA on a pro forma basis after giving effect to each of the transactions contemplated by the Master Agreement.
Investor Package means such documents and other information as Buyer may deem necessary or advisable to provide to Beneficial Owners to make their decision as to whether to accept OP Units at Closing. As used in this Agreement, the termOP Issuance Delivery Documents” shall mean such documents as Buyer may require Eligible Beneficial Owners to sign in order to induce Buyer to issue OP Units to such Eligible Beneficial Owners.
Investor Package means, collectively, (a) copies of (i) this Agreement, the Master Agreement and each of the exhibits and schedules hereto and thereto, (ii) the Interest Contribution Agreements (or similar agreements) with respect to each of the other properties to be transferred to LATA Holdings pursuant to the transactions contemplated by the Master Agreement, and (iii) the Common Stock Agreement, in each case, including each of the exhibits and schedules thereto, (b) copies of LATA’s Annual Report on Form 10-K for the year ended December 31, 2011, its 2012 Annual Proxy Statement, and its Quarterly Reports on Form 10-Q and Current Reports on Form 8-K filed with or furnished to the SEC since the filing date of LATA’s Annual Report on Form 10-K and on or prior to the date hereof, and (c) a pro forma capitalization table as of the date hereof showing the consolidated, fully diluted equity and debt capitalization of LATA on a pro forma basis after giving effect to each of the transactions contemplated by the Master Agreement.

  • CREFC® Investor Reporting Package® shall have the meaning assigned to such term or an analogous term in the Servicing Agreement.

  • Key Holder Registrable Securities means (i) the shares of Common Stock held by the Key Holders, and (ii) any Common Stock issued as (or issuable upon the conversion or exercise of any warrant, right, or other security that is issued as) a dividend or other distribution with respect to, or in exchange for or in replacement of such shares.

  • Additional Purchased Securities Securities provided by Seller to Buyer pursuant to Paragraph 4(a) hereof;
