The Shareholders covenant and agree that, upon the written request or motion of an Investor Shareholder that any or all of the Investor Nominees of such Investor Shareholder be removed from the Board, they will vote their Shares or act by written consent with respect to such Shares so as to cause such Director or Directors to be removed in accordance with such request or motion.
