Investor Holdco definition

Investor Holdco has the meaning set forth in the preamble.
Investor Holdco means Xxxxx Investor Holdings, LLC, a Delaware limited liability company, and its respective Affiliates (other than the Corporation and its subsidiaries), or any person who is an express assignee or designee of its respective rights under this Certificate of Incorporation (and such assignee’s or designee’s Affiliates (other than the Corporation and its subsidiaries)).
Investor Holdco means SP Investor Holdings, LLC, a Delaware limited liability company.

  • Co-Investors means each of (a) the Fund and the Fund Affiliates (excluding any of their portfolio companies) and (b) the Management Group.

  • Key Holder Registrable Securities means (i) the shares of Common Stock held by the Key Holders, and (ii) any Common Stock issued as (or issuable upon the conversion or exercise of any warrant, right, or other security that is issued as) a dividend or other distribution with respect to, or in exchange for or in replacement of such shares.

  • Class B Stockholder means (i) the registered holder of a share of Class B Common Stock at the Effective Time and (ii) the initial registered holder of any shares of Class B Common Stock that are originally issued by the Corporation after the Effective Time.

  • Company Securities means (i) the Common Stock, (ii) securities convertible into or exchangeable for Common Stock and (iii) any options, warrants or other rights to acquire Common Stock.
