Except as otherwise extended by approval of the JV Shareholders in accordance with the terms of the JV Agreement, the Joint Venture will have a duration of eight years commencing from (and inclusive of) the date of its establishment, of which the first five years represent the Investment Period and the remaining three years represent the Exit Period.
During the Investment Period, a management fee (inclusive of tax) calculated based on 1.5% per annum of the total capital commitments of the Investors in accordance with the JV Agreement shall be payable by the Joint Venture to the Joint Managers.
The provisions of Section 4.03 hereof relating to retroactive payments shall apply, if applicable, if this Fee Agreement is terminated in accordance with this Section prior to the end of the Investment Period.
