Investment Option Shares means Shares that are the subject of an Investment Option.

Investment Option Shares as used herein, refers to the shares of Common Stock purchasable hereunder. The Investment Option Shares and the Exercise Price are subject to adjustment as provided in Paragraph 4 hereof. The term Investment Option means this Investment Option and the other investment options issued pursuant to that certain Securities Purchase Agreement, dated February 5, 1998, by and among the Company and the Buyers listed on the execution page thereof (the "Securities Purchase Agreement"). Examples of Investment Option Shares in a sentence

  • The Company further covenants that its issuance of this Preferred Investment Option shall constitute full authority to its officers who are charged with the duty of issuing the necessary Preferred Investment Option Shares upon the exercise of the purchase rights under this Preferred Investment Option.

  • The Holder and the Company shall maintain records showing the number of Preferred Investment Option Shares purchased and the date of such purchases.

  • The provisions of this Preferred Investment Option are intended to be for the benefit of any Holder from time to time of this Preferred Investment Option and shall be enforceable by the Holder or holder of Preferred Investment Option Shares.

  • The Preferred Investment Option, if properly assigned in accordance herewith, may be exercised by a new holder for the purchase of Preferred Investment Option Shares without having a new Preferred Investment Option issued.

  • The Holder acknowledges that the Preferred Investment Option Shares acquired upon the exercise of this Preferred Investment Option, if not registered, and the Holder does not utilize cashless exercise, will have restrictions upon resale imposed by state and federal securities laws.

  • If the Company fails to cause the Transfer Agent to transmit to the Holder the Preferred Investment Option Shares pursuant to Section 2(d)(i) by the Preferred Investment Option Share Delivery Date, then the Holder will have the right to rescind such exercise.

  • Before taking any action which would result in an adjustment in the number of Preferred Investment Option Shares for which this Preferred Investment Option is exercisable or in the Exercise Price, the Company shall obtain all such authorizations or exemptions thereof, or consents thereto, as may be necessary from any public regulatory body or bodies having jurisdiction thereof.

  • No provision hereof, in the absence of any affirmative action by the Holder to exercise this Preferred Investment Option to purchase Preferred Investment Option Shares, and no enumeration herein of the rights or privileges of the Holder, shall give rise to any liability of the Holder for the purchase price of any Common Stock or as a stockholder of the Company, whether such liability is asserted by the Company or by creditors of the Company.

Related to Investment Option Shares

  • Investment Option means any of the guaranteed investments and variable investment funds available under the Plan.

  • Investment Options means the investment options, as determined from time to time by the Committee, used to credit earnings, gains and losses on Account balances.

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Option Stock shall have the meaning set forth in Section 2(a) hereof.

  • Unit Shares means the Common Shares comprising part of the Units;

  • Offering Shares means the shares of Common Stock issued to the Purchasers pursuant to the Subscription Agreements, and any shares of Common Stock issued or issuable with respect to such shares upon any stock split, dividend or other distribution, recapitalization or similar event with respect to the foregoing.

  • A Shares means a participating share of no par value in the capital of the Fund, denominated in US Dollars;

  • Number of Option Shares means shares of Stock, as adjusted from time to time pursuant to Section 9.

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Settlement Shares With respect to any Settlement Date, a number of Shares, not to exceed the Base Amount, designated as such by Party B in the related Settlement Notice or by Party A pursuant to “Termination Settlement” below; provided that on the Maturity Date the number of Settlement Shares shall be equal to the Base Amount on such date.

  • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.

  • Cash Election Shares shall have the meaning set forth in Section 3.2.1.

  • Deferred Shares means an award made pursuant to Section 7 of this Plan of the right to receive Common Shares at the end of a specified Deferral Period.

  • Issued Shares means, collectively, all outstanding Shares issued pursuant to Restricted Stock Awards, all outstanding Shares issued pursuant to Unrestricted Stock Awards, and all Option Shares.

  • Option Share has the meaning ascribed to it in section "4.7" hereinbelow;

  • Amalco Shares means the common shares in the capital of Amalco;

  • Initial Shares means all of the outstanding shares of Common Stock issued prior to the consummation of the Company’s initial public offering.

  • Payment Shares has the meaning set forth in Section 2.02;

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Common Shares means the common shares in the capital of the Corporation;

  • Converted Shares means the Subject Equity Shares resulting from the conversion of Restricted Voting Shares into the Subject Equity Shares pursuant to subparagraph (ii);

  • Qualifying Shares means shares of Common Stock which either (i) have been owned by the Grantee for more than six (6) months and have been “paid for” within the meaning of Rule 144 promulgated under the Securities Act, or (ii) were obtained by the Grantee in the public market.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.
