Parent shall have received a statement and release from the Investment Banker in form and substance satisfactory to Parent in their sole discretion setting forth the total Investment Banking Fees payable to the Investment Banker in connection with the transactions contemplated under this Agreement and releasing any claim against the Company, the Surviving Corporation, WFI or Parent for any amount in excess of the Investment Banking Fees set forth therein.
