Inventory Cost. As determined by Lender in the exercise of its Permitted Discretion, the lesser of (a) cost of Eligible Inventory or Eligible In-Transit Inventory, as applicable, computed in accordance with GAAP or (b) the market value of Eligible Inventory or Eligible In-Transit Inventory, as applicable, as established by a third-party valuation firm reasonably acceptable to Lender.
