International Security Agent definition

International Security Agent means The Bank of New York Mellon, London Branch, as international security agent pursuant to this Indenture, or any successor or replacement collateral agent acting in such capacity.
International Security Agent means GLAS Americas LLC, as International Security Agent under the MLA, or any successor appointed pursuant to the MLA.

  • Anything in this Agreement to the contrary notwithstanding, in no event shall any of the Representatives, the Collateral Agents or the International Security Agent be liable under or in connection with the Debt Documents for indirect, special, incidental, punitive or consequential losses or damages of any kind whatsoever, including lost profits, whether or not foreseeable, even if such Person has been advised of the possibility thereof and regardless of the form of action in which such damages are sought.

  • EEA Financial Institution means (a) any credit institution or investment firm established in any EEA Member Country which is subject to the supervision of an EEA Resolution Authority, (b) any entity established in an EEA Member Country which is a parent of an institution described in clause (a) of this definition, or (c) any financial institution established in an EEA Member Country which is a subsidiary of an institution described in clauses (a) or (b) of this definition and is subject to consolidated supervision with its parent.

  • General Security Agreement means that certain Security Agreement (Personal Property), substantially in the form of Exhibit F, dated as of the date hereof, between Borrowers (or, as the case may be, each Guarantor), as Debtor, and Lender, as Secured Party, securing the Obligations of Borrowers (or, as the case may be, the obligations of each Guarantor), as the same may from time to time be amended, modified or supplemented.

  • Additional Security Document means, any security document relating to the ETP Securities designated as such by Issuer and the Trustee, as amended, supplemented, novated and/or replaced from time to time but, for the avoidance of doubt, not including the Trust Deed or the Margin Account Security Agreement.
