International Offering has the meaning given to it in Recital (A);

Examples of International Offering in a sentence

  • Any Securities or Other Securities which may have been purchased by the Manager for stabilizing purposes in connection with the Offering prior to the acceptance of the applicable AAU will be treated as having been purchased pursuant to this Section 5.1 for the accounts of the several Underwriters or, in the case of an International Offering, for such accounts as are set forth in the applicable Intersyndicate Agreement.

  • Such purchases and sales and over-allotments will be made for the accounts of the several Underwriters as nearly as practicable to their respective Underwriting Percentages or, in the case of an International Offering, such purchases and sales will be for such accounts as set forth in the applicable Intersyndicate Agreement.

  • The Hong Kong Underwriters will not be entitled to the underwriting commission referred to in Clause 6.1 in respect of the Offer Shares reallocated to the International Offering.

  • For unsubscribed Hong Kong Offer Shares reallocated to the International Offering, we will pay an underwriting commission at the rate applicable to the International Offering and such commission will be paid to the International Underwriters and not the Hong Kong Underwriters.

  • The underwriters of the Hong Kong Public Offering and the International Offering (together, the “Syndicate Members”) and their affiliates may each individually undertake a variety of activities (as further described below) which do not form part of the underwriting.

International Offering means the proposed offering and sale by the Company through the International Underwriters or their respective affiliates of the International Offer Shares in the United States under the International Underwriting Agreement and pursuant to an “automatic shelf registration statement” as defined under Rule 405 under the Securities Act on Form F-3 (No. 333- 265732) and outside the United States in offshore transactions, upon and subject to the terms and conditions of the International Underwriting Agreement;

International Offering means the offering of the International Shares by the International Underwriters outside the United States, Canada and Japan.
International Offering means the offering of New Shares directly or in the form of ADSs to investors outside the U.S. and Canada;
International Offering means any E*TRADE GROUP Service made available to Users in any country outside of the United States.
