Internal Spin definition

Internal Spin has the meaning set forth in the RMT Transaction Agreement.
Internal Spin means any of (i) the First Domestic Contribution and First Domestic Distribution (as such terms are defined in the Representation Letter), taken together, (ii) the Foreign Contribution and Foreign Distribution (as such terms are defined in the Representation Letter), taken together or (iii) the Second Domestic Contribution and Second Domestic Distribution (as such terms are defined in the Representation Letter), taken together.
Internal Spin means the distribution of the uBid Common Stock by CCI Computers, Inc., a California corporation, to CCI.

Examples of Internal Spin in a sentence

  • Subject to and in accordance with applicable law, Parent (or its Board of Directors) shall determine the Distribution Date with respect to the Distribution, which shall follow the Internal Spin, the Internal Debt Repayment and the Internal Debt Exchange.

  • Following the Internal Spin and the Internal Debt Repayment and Internal Debt Exchange, if applicable, and on the Distribution Date, Parent shall cause the Distribution to be effected, as set forth in Article 6.

  • Internal Distribution has the meaning set forth in the recitals.
