Interim Operations definition

Interim Operations means the period from the date when this Agreement is executed to the Effective Date.
Interim Operations means the ordinary and necessary operations of the Business during the Interim Period and shall not include any transactions or occurrences outside of the ordinary course of the conduct of the Business; "Interim Period" means the period commencing with the Effective Time and ending on the Closing Date; "Interim Period Tax Burden" means any Taxes allocated to the Interim Period pursuant to this Section 7.8; and "Interim Period Tax Benefit" means any reduction in Taxes realized by Seller or any of its Affiliates as a result of net losses incurred from Interim Operations. For purposes of allocating revenues and expenses for the Interim Period, the parties intend that (a) any expenses for such period that are described as services to be provided by Seller to the Subsidiaries after the Closing under the terms of the Interim Services Agreement shall be calculated using the pricing for such services under the Interim Services Agreement; for example, notwithstanding that the Riverwoods Lease, the Sublease and the Interim Services Agreement are entered into effective as of the Closing Date, expenses for use of the premises under the Riverwoods Lease and the Sublease shall be for the account of the Subsidiaries from the Effective Time and such expenses shall be calculated using the amounts set forth for such services in the Interim Services Agreement, and (b) notwithstanding that the Subsidiaries are, under the terms of Article V, not hiring the Active Employees and are not responsible for certain benefits with respect to Hired Employees until the Closing Date, employee and employee benefit expenses, such as payroll and other costs of employee benefits, of Seller from the Effective Time for Employees who become Hired Employees shall be for the account of the Subsidiaries. In the event either party shall receive revenues of the other, such revenues shall promptly be paid to the other party. In the event one party shall receive invoices for expenses or demands relating to obligations of the other party, such party shall promptly forward such invoices or demands to the other party."
Interim Operations has the meaning set forth in Section 2(g) below.

  • Business operations means engaging in commerce in any form, including by acquiring, developing, maintaining, owning, selling, possessing, leasing, or operating equipment, facilities, personnel, products, services, personal property, real property, or any other apparatus of business or commerce.

  • Drilling operations means the drilling of an oil and gas well and the production and completion operations ensuing from the drilling which require entry upon the surface estate and which were commenced after June 30, 1979, and oil and gas geophysical and seismograph exploration activities commenced after June 30, 1983.

  • Operations Plan means the document by which PURCHASER notifies STATE of the plans and schedule for completing the operations described in the contract. It also contains the names of the subcontractors, PURCHASER's Authorized Representatives, and STATE's Authorized Representatives. Permit means any permit required by a federal, state, or local government agency before operations under this contract may lawfully begin or continue. Permit includes an incidental take permit under the federal Endangered Species Act.

  • Mining Operations means every kind of work done by the Operator:

  • Production Operations means all operations conducted for the purpose of producing Petroleum from the Development Area after the commencement of production from the Development Area including the operation and maintenance of all necessary facilities therefor.

  • Operations means all the activities conducted by PURCHASER under this contract, including project work, logging, or post harvest activities; or the furnishing of all materials, equipment, labor, and incidentals necessary to successfully complete any individual item or the entire contract.

(E) The term "Territory" for purposes of this Unit Agreement shall mean the states of Alabama, Florida, Georgia, Maryland, North Carolina, South Carolina, Tennessee, Virginia, and the District of Columbia, which are the states and Territories in which SunTrust has significant operations on the date of this Unit Agreement. (F) "Trade Secret" for purposes of Unit Agreement shall mean information, including, but not limited to, technical or nontechnical data, a formula, a pattern, a compilation, a program, a device, a method, a technique, a drawing, a process, financial data, financial plans, product plans, or a list of actual or potential customers or suppliers that: (i) derives economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by, other persons who can obtain economic value from it is disclosure or use, and (ii) is the subject of reasonable efforts by SunTrust or a SunTrust Affiliate to maintain its secrecy.

  • Joint Operations means all operations necessary or proper for the development, operation, protection and maintenance of the Joint Property.

  • Commercial Operations Upon satisfaction of the following conditions, the Facility shall be considered to have achieved Commercial Operations on the Day specified in Seller's written notice described below: (i) the Acceptance Test has been passed, (ii) all generating units have passed Control System Acceptance Tests, (iii) the Transfer Date has occurred, (iv) Seller has (1) provided to Company the Required Models (as defined in Section 6(a) (Seller's Obligation to Provide Models) of Attachment B (Facility Owned by Seller)) in the form of Source Code, (2) placed the current version of the Source Code for the Required Models with the Source Code Escrow Agent as required in Section 6(b)(i)(A) (Establishment of Source Code Escrow) of Attachment B (Facility Owned by Seller), or (3) if Seller is unable to arrange for the placement of the appropriate Source Code into the Source Code Escrow account, placed the required funds with the Monetary Escrow Agent as required in Section 6(b)(ii)(A) (Establishment of Monetary Escrow) of Attachment B (Facility Owned by Seller), and (v) Seller provides Company with written notice that (aa) Seller is ready to declare the Commercial Operations Date and (bb) the Commercial Operations Date will occur within 24 hours (i.e., the next Day).

  • Market Operations Center means the equipment, facilities and personnel used by or on behalf of a Market Participant to communicate and coordinate with the Office of the Interconnection in connection with transactions in the PJM Interchange Energy Market or the operation of the PJM Region.

  • Cash from Operations means the net cash realized by the Company from any source other than a Capital Transaction, after payment of all cash expenditures of the Company, including, but not limited to, all operating expenses including all fees payable to the Manager or Affiliates, all payments of principal and interest on indebtedness, expenses for repairs and maintenance, capital improvements and replacements, and such reserves and retentions as the Manager reasonably determines to be necessary and desirable in connection with Company operations with its then existing assets and any anticipated acquisitions.
