Intercompany Advances definition

Intercompany Advances means loans or advances or the repayment of loans or advances from Parent or one of its Subsidiaries to Parent or one of its Subsidiaries, and includes the repayment of intercompany payables owing on the Closing Date.
Intercompany Advances means any advances or open accounts owing by the Borrower or any Subsidiary of the Borrower to any Grantor.
Intercompany Advances means the consolidated intercompany loans or advances from the Seller Parent and its Affiliates (excluding the Alkali Group) to the Company (including its Subsidiaries), on the one hand, and from the Company (including its Subsidiaries) to Seller Parent and its Affiliates (excluding the Alkali Group), on the other hand.

Intercompany Advances means the incurrence of Indebtedness, the purchase or acquisition of stock, obligations or securities of, or any other interest in, or capital contributions between the Company and its respective Subsidiaries (including the de minimis initial investment by which a Person becomes a Subsidiary) or between Subsidiaries of the Company; provided that the aggregate amount of Intercompany Advances made to a Foreign Subsidiary of the Company which is a Non-Guarantor Subsidiary shall not exceed an amount at any time outstanding equal to the amount of Intercompany Advances outstanding on the Closing Date plus $15,000,000; and provided further that (i) trade receivables arising in the ordinary course of business between the Company and its Subsidiaries or between Subsidiaries or (ii) investments made in connection with Designated Acquisitions, shall not be subject to the limitations set forth in the preceding proviso.
