Institutional Stockholders definition

Institutional Stockholders has the meaning set forth in the preamble and shall also include any Person that executes this Agreement as an Institutional Stockholder, and any other Person who shall become a party to or bound by this Agreement as an additional or substituted Institutional Stockholder as set forth herein, that has not made a disposition of all Shares held by such Person.

Institutional Stockholders means any Person listed on the Schedule -------------------------- of Institutional Stockholders attached hereto as Schedule 6 and any successor to, or Permitted Transferee (excluding any transferee who purchases Institutional Securities pursuant to Section 6) of, any such Person who or which agrees in writing to be treated as an Institutional Stockholder hereunder and to be bound by the terms and comply with all applicable provisions hereof.

• Stockholders shall mean, initially, the Institutional Stockholders and the Management Stockholders of the Company, and thereafter any Person who becomes a party to this Agreement by executing an Instrument of Accession in connection with the transfer to or acquisition by such Person of any Stock from the Company or any Stockholder or any subsequent transferee of a Stockholder; provided that a Person shall cease to be a Stockholder hereunder at such time as such Person ceases to own Restricted Securities.
