INSOLVENCY OR BANKRUPTCY. NET WORTH: Licensor shall have the right to ----------------------------------- terminate the rights of Licensee under this Agreement (i) if Licensee files a petition in bankruptcy, or if a petition in bankruptcy is filed against it; (ii) if Licensee becomes Insolvent, or makes an assignment for the benefit of its creditors, or files a petition or otherwise seeks relief under or pursuant to any bankruptcy, insolvency or reorganization statute or proceeding, or if it discontinues its business, or if a custodian, receiver or trustee is appointed for it or a substantial portion of its business or assets; or (iii) if at any time, the total stockholders' equity (according to G.A.A.P.) of Licensee as reflected in Licensee's year and financial statements is less than zero dollars ($0).
