Insolvency Opinion definition

Insolvency Opinion means that certain non-consolidation opinion letter dated the date hereof delivered by Xxxxxx Xxxxxxxx Xxxxx & Xxxxxxxx LLP in connection with the Loan.

Insolvency Opinion means that certain bankruptcy non-consolidation opinion letter dated the date hereof delivered by Xxxxxxxx, Xxxxxx & Finger, P.A. in connection with the Loan.

Insolvency Opinion means, that certain bankruptcy non-consolidation opinion letter delivered by counsel for Borrower in connection with the Loan and approved by Lender or the Rating Agencies, as the case may be.

• In connection with the foregoing, Borrower hereby covenants and agrees that it will comply with or cause the compliance with, (i) all of the facts and assumptions (whether regarding Borrower or any other Person) set forth in the Insolvency Opinion, (ii) all of the representations, warranties and covenants in this Section 3.1.24, and (iii) all of the Organizational Documents of Borrower.

• Borrower shall conduct its business so that the assumptions made with respect to Borrower in the Insolvency Opinion shall be true and correct in all respects.

• Borrower or Transferee, at its sole cost and expense, shall deliver to Lender an Additional Insolvency Opinion reflecting such Transfer reasonably satisfactory in form and substance to West Madison Mortgage Lender.

Insolvency Opinion means that certain bankruptcy non-consolidation opinion letter dated the date hereof delivered by Levenfeld Xxxxxxxxxx LLC in connection with the Loan.

Insolvency Opinion shall have the meaning set forth in Section 3.1.6 hereof.

Insolvency Opinion means that certain non-consolidation opinion letter dated the Swap Closing Date delivered by Xxxxxx Xxxxxxxx Xxxxx & Xxxxxxxx LLP in connection with the Loan, as confirmed and updated by Xxxxxxxx, Xxxxxx and Finger LLP on the date hereof.

Insolvency Opinion means that certain bankruptcy non-consolidation opinion letter dated the date hereof delivered by Backenroth, Xxxxxxx & Xxxxxxx LLP in connection with the Loan, together with any subsequent or updated non-consolidation opinion required to be delivered in connection with this Agreement or the other Loan Documents, in each case from counsel providing the initial Insolvency Opinion or other counsel acceptable to Lender and the Rating Agencies, covering such “pairings” and in form and substance acceptable to Lender and satisfying all Rating Agency requirements.

Insolvency Opinion shall have the meaning set forth in Section 2.02(g)(xix) hereof.

Insolvency Opinion means a non-consolidation opinion letter delivered by Xxxxxxxx, Xxxxxx & Finger, P.A., substantially in the form attached hereto as Exhibit I.

Insolvency Opinion means any bankruptcy non-consolidation opinion letter delivered to Lender in connection with the Loan, including any bankruptcy non-consolidation opinion letter delivered to Lender after the closing of the Loan pursuant to the terms and conditions of the Loan Documents, which post-closing opinion shall be from counsel, and in form and substance, in each case reasonably acceptable to Lender and acceptable to the Rating Agencies in their sole discretion.
