Initiating Holder definition

Initiating Holder has the meaning set forth in Section 2.01(a).

Initiating Holder means any Holder or Holders who in the aggregate are Holders of more than 50% of the then outstanding Registrable Securities;

Initiating Holder has the meaning set forth in Section 3.1 of this Agreement.

Examples of Initiating Holder in a sentence

• The Fund shall (together with all Holders proposing to distribute their securities through the underwriting) enter into an underwriting agreement in customary form for an underwritten offering made solely by selling shareholders with the underwriter or, if more than one, the lead underwriter acting as the representative of the underwriters (the "Underwriters' Representative") selected for the underwriting by the Initiating Holder and with the consent of the Fund, not to be unreasonably withheld.

• The Demand Notice must set forth the number of Registrable Securities that the Initiating Holder intends to include in such Demand Registration and the intended methods of disposition thereof.

• The Underwritten Offering Notice must set forth the number of Registrable Securities that the Initiating Holder intends to include in such Requested Underwritten Offering.

• All such requests pursuant to this Section 2(a) are referred to herein as "Demand Registration Requests" and the registrations so requested are referred to herein as "Demand Registrations" and, with respect to any Demand Registration, the Holder(s) making such demand for registration being referred to as the "Initiating Holder".

• If any Initiating Holder intends to distribute the Registrable Securities covered by its request by means of an underwritten offering, then it shall so advise the Company as a part of its request made pursuant to this Section 1.2 and the Company shall include such information in the Request Notice.

More Definitions of Initiating Holder

Initiating Holder means the Holder delivering the Demand Notice or the Underwritten Offering Notice, as applicable.

Initiating Holder has the meaning set forth in Section 3(a).

Initiating Holder is defined in Section 2.1.

Initiating Holder means, with respect to any registration effected ----------------- pursuant to Section 3.1, (i) the XXXX Holders in the event that the Holder or Holders from whom a notice is received pursuant to Section 3.1(a) that initiates such registration is a XXXX Holder, (ii) the FS Holders in the event that the Holder or Holders from whom a notice is received pursuant to Section 3.1(a) that initiates such registration is a FS Holder, and (iii) the DLJ Holders in the event that the Holder or Holders from whom a notice is received pursuant to Section 3.1(a) that initiates such registration is a DLJ Holder.

Initiating Holder shall have the meaning set forth in Section 2.3.

Initiating Holder means, with respect to a particular registration, the Holder who initiated the Request for such registration.

Initiating Holder has the meaning set forth in Section 5.1 hereof.
