Initial Tranche definition

Initial Tranche means the first Tranche of a Series of ETP Securities issued.

Initial Tranche shall have the meaning provided in the definition of the term “Tranche.”

Initial Tranche means, if the Securities of a Series are, in accordance with the terms of the Trust Instrument relating to such Series, to be issued in tranches, the initial tranche specified in the Trust Instrument in respect of that Series.

• Following the Closing of the Initial Tranche, the Investors shall fund the Escrow Deposit to the Escrow Account.

• Subject to the terms and conditions set forth herein, the Closing of the Second Tranche shall occur on the date that is twenty (20) Trading Days following the Closing Date of the Initial Tranche; provided that the Registration Condition shall have been met in respect of the Investor Shares underlying the Notes and Warrants to be issued in the Second Tranche as of the proposed Closing Date for the Second Tranche.
