Initial Shares definition

Initial Shares means a number of Registrable Securities equal to the lesser of (i) the total number of Registrable Securities and (ii) one-third of the number of issued and outstanding shares of Common Stock that are held by non-affiliates of the Company on the day immediately prior to the filing date of the Initial Registration Statement.
Initial Shares means all of the outstanding shares of Common Stock issued prior to the consummation of the Company’s initial public offering.
Initial Shares means all of the outstanding Ordinary Shares issued prior to the consummation of the Company’s initial public offering.

  • The Initial Shares will rank pari passu and have the rights and privileges attached to them as set out in section 36(1) of the Companies Act (except to the extent negated, limited or modified by the Constitution).
