Initial Parties definition

Initial Parties has the meaning set forth in the introductory paragraph of this Agreement.

Initial Parties. Initial Parties shall mean all those Parties as more fully described in Schedule 1;

Initial Parties means the Company, Luxco 1, Luxco 2, the Issuer, the Co-Issuer, the Original Guarantor Parties, the Original Consenting NSSN Holders, the Original Consenting SSN Holders, the NMT Backstop Providers and the Information Agent.

Examples of Initial Parties in a sentence

• The Initial Parties agree that JPMorgan shall pay to the Institutional Investors’ counsel, Xxxxx & Xxxxx, the sum of $66 million, reduced proportionally on account of any Net Losses in any Non-Settling Trusts, as a reasonable and necessary contingent attorneys’ fee (the “Attorneys’ Fee”) within thirty (30) days of the Final Expert Calculation; provided, however, that trusts that become Excluded Trusts pursuant to Section 2.08 shall not cause any proportionate reduction in the Attorneys’ Fee.

• This Settlement Agreement shall be deemed to have been jointly drafted by the Initial Parties (except for any changes implemented after November 15, 2013, which shall be deemed to have been drafted by all Parties), and in construing and interpreting this Settlement Agreement, no provision shall be construed and interpreted for or against any of the Parties because such provision or any other provision of the Settlement Agreement as a whole is purportedly prepared or requested by such Party.

• All Parties agree to this Agreement and its Schedules being publicly disclosed by the Company (except for Schedule 1 (The Initial Consenting Creditors), which shall not be disclosed to any person other than the Initial Parties, ING and the Information Agent).

• Promptly following the Modification Date, the LBHI Debtors shall request that the Bankruptcy Court schedule and hold a xxxxxxxx conference at a time and date mutually agreeable to the Initial Parties and the Trustees so that the LBHI Debtors and the Institutional Investors may inform the Court of the existence and terms of this Settlement Agreement.

• Said lump sum amount will be credited to the Initial Parties based upon the cost sharing in Exhibit B.

Initial Parties means the Company, New Midco, New Holdco, Luxco 2, Luxco 3, the Issuer, Codere UK, the Original Guarantor Parties, the Original Consenting Noteholders, the Original Consenting Shareholders, the FPN Backstop Providers and the Information Agent.

Initial Parties means the Parties to this Agreement as of the Effective Date of this Agreement or within 120 days thereafter.

Initial Parties means the parties referred to in paragraphs (1) and (2) of the preamble.
