Initial Equity Financing definition

Initial Equity Financing means the Buyer’s initial equity financing in connection with the pending litigation for a minimum commitment of seven million five hundred thousand dollars ($7,500,000).
Initial Equity Financing means receipt by Borrower, after February 15, 2018, of unrestricted (including, without limitation, not being subject to any clawback, redemption, escrow or similar contractual restriction) net cash proceeds in an amount of at least Nineteen Million Five Hundred Thousand Dollars ($19,500,000.00) from the issuance of new equity securities of Parent Borrower.

  • Next Equity Financing means the next sale (or series of related sales) by the Company of its Preferred Stock following the Date of Issuance from which the Company receives gross proceeds of not less than $1,000,000 (excluding the aggregate amount of securities converted into Preferred Stock in connection with such sale (or series of related sales)).

  • Financing Event means the earlier of (i) a public offering by the Company of its Common Stock with aggregate gross proceeds of at least $5 million; or (ii) the listing of the Company’s Common Stock on a National Securities Exchange, as such term is defined under the Exchange Act.
