Examples of Individual Defendant in a sentence
Provided the Class Settlement Amount is deposited in the Settlement Fund as provided in Section 7.1, no Individual Defendant will have any personal obligation to fund any or all of the Class Settlement Amount.
Upon the Effective Date, each Released Party absolutely and unconditionally releases and forever discharges each and every other Released Party from any and all claims, including claims for contribution, subrogation, and/or indemnity, relating to Released Defendants’ Claims, but excluding any claims for indemnity that any Individual Defendant may have against the Company that do not pertain or relate to the Action.
Individual Defendant Xxxxxxx Xxxx, in his capacity as an independently elected county official, is also a signatory to this Agreement in order to effect certain of the settlement terms specified in Section C.
With respect to the Individual Defendant Released Claims, Individual Defendants, on behalf of themselves and their affiliates, successors, or assigns, acknowledge that they may have sustained damages, expenses, and losses which are presently unknown to them, and that additional damages, expenses, and losses presently unknown or unsuspected by them may arise in the future, and that this release has been negotiated and agreed upon with the foregoing understanding.
The foregoing notwithstanding, nothing in this Settlement Agreement shall be construed as a release or waiver (i) by any Defendant of any claim, right, or defense against another Defendant that is unrelated to the Action or defense of the Action or (ii) by any Individual Defendant of his or her rights or claims for advancement or indemnification from Bear Xxxxxxx under any applicable contract, provision of law, certificate of incorporation, or bylaws.
