  • If such Member is an Indirect Member, as of the Agreement Date, such Indirect Member is the beneficial and record owner of, has good and valid title to all of the equity interests of the Direct Members or Direct Members set forth opposite such Indirect Member’s name on Schedule 1.1(a), in each case free and clear of all Liens, other than restrictions on Transfer set forth in the Organizational Documents of such Direct Member.
