Parent shall provide the Independent Accounting Firm full, reasonable and timely access to all relevant information in its possession, custody or control, including books and records, and workpapers, if any, reasonably requested by the Independent Accounting Firm to facilitate its timely determination of the matters subject to its review.
JCB and Parent shall direct the Independent Accounting Firm to use its reasonable best efforts to render its determination within thirty (30) days of submission of the referral to it by JCB and Parent.
