Incyte Patent Rights definition

Incyte Patent Rights means all Patent Rights that (a) are Controlled by Incyte or, subject to Section 12.3(b)(ii), any of its Affiliates, as of the Execution Date or during the Term; and (b) (i) Cover a Licensed Antibody or Product (excluding an Incyte Product), or (ii) are otherwise necessary or useful to Develop, Manufacture or Commercialize a Licensed Antibody or Product (excluding an Incyte Product).

Incyte Patent Rights means [**].

Incyte Patent Rights means all Patent Rights that (a) are Controlled by Incyte or any of its Affiliates as of the Effective Date or during the Term; and (b) are necessary or useful to Develop, manufacture or Commercialize any of (x) c-MET Licensed Compounds and c-MET Licensed Products (the “c-MET Patent Rights”); and (y) JAK Licensed Compounds and JAK Licensed Products (the “JAK Patent Rights”); provided, however, that Incyte Patent Rights specifically exclude Joint IP. The c-MET Patent Rights that exist as of the Effective Date are set forth in Exhibit A-1 and the JAK Patent Rights that exist as of the Effective Date are set forth on Exhibit A-2. Agreement § 1.47.

Examples of Incyte Patent Rights in a sentence

• At Incyte’s expense, Incyte shall have the sole right and discretion to file, prosecute and maintain all Incyte Patent Rights not covered by Sections 8.3(b) and 8.3(c).

• If permitted and to the extent that Novartis does so with respect to its other products in the same geographic market, Novartis shall, and shall cause its Affiliates, distributors and licensees, to (a) xxxx the Licensed Products with the number of each issued patent under the Incyte Patent Rights that apply to the Licensed Product and (b) comply with the patent marking statutes in each country in which the Licensed Product is manufactured by or on behalf of Novartis or its Affiliates.

• If Pfizer decides to seek a Patent Term Extension under any Incyte Patent Rights, Incyte shall, and shall cause its Affiliates to, make any filings reasonably requested by Pfizer in order to implement the provisions of this Section 9.4 and otherwise reasonably cooperate with Pfizer in seeking such Patent Term Extensions.

• REPRESENTATIONS Incyte hereby represents, warrants and covenants to Senomyx that to the best of Incyte's knowledge, as of the Effective Date it is the owner, or licensee (with the right to grant sublicenses), of the Incyte Patent Rights and Incyte Know-How, and no other person, corporate or other private entity, or governmental entity or subdivision thereof, has or shall have any claim of an ownership interest with respect to those Incyte Patent Rights and Incyte Know-How, whatsoever.

More Definitions of Incyte Patent Rights

Incyte Patent Rights means the patents and/or patent applications owned or controlled by Incyte which (i) claim the composition of matter of Gene/Gene Derivative(s) or any other cDNAs identified in the DNA Sequence Information, and/or (ii) arise solely from the generation of Database Information and claim the use of Gene/Gene Derivative(s) with respect to Product(s), throughout the world as well as reissues, reexaminations, divisionals, provisionals, continuations or continuations-in-part thereof or therefor, all to the extent and only to the extent Incyte has the right to grant licenses, immunities or other rights thereunder; provided, however, that Incyte Patent Rights shall exclude all patent rights arising under Incyte Proprietary Programs.
