Included Products definition

Included Products means any and all drug products that, as of the Closing Date, the Borrower or any of the Subsidiaries sells, offers for sale, imports, promotes, markets, distributes or otherwise commercializes (or possesses the rights to sell, offer for sale, import, promote, market, distribute or otherwise commercialize) anywhere.

Included Products means any and all existing and future products that, at any time or from time to time during the period from the Closing Date through the Scheduled Maturity Date, the Borrower or any of the Subsidiaries sells, has sold, offers for sale, imports, promotes, markets, distributes or otherwise commercializes (or possesses the rights to sell, have sold, offer for sale, import, promote, market, distribute or otherwise commercialize) anywhere in the Territory. For the avoidance of doubt and without limiting the generality of the foregoing, Included Products shall include RP103.

Included Products means the pharmaceutical drug known as Mytesi, including any improvements or modifications thereto and any follow-on products, owned or controlled by Company, including Lechlemer for any indications that would cannibalize Mytesi indication(s) or any other chronic indication. For the avoidance of doubt, this includes without limitation any future indications for which Mytesi is approved, such as cancer therapy-related diarrhea and irritable bowel syndrome, among others.

• Such entity acknowledges that it has (a) reviewed such documents and information relating to the Revenue Interests, the Collateral and the Included Products and (b) had the opportunity to ask such questions of, and to receive answers from, representatives of the Company, in each case, as it deemed necessary to make an informed decision to purchase, acquire and accept the Revenue Interests in accordance with the terms of this Agreement.

• Except pursuant to the Xxxxx Agreement (until termination of the Xxxxx Liens on the Closing), no Person other than Dyax has any right to receive the payments payable under any Included License Agreement or any Included Products Payments other than, in respect of the Royalty Interests, the Buyer.

• The Company has sole authority and responsibility for the research, development and Commercialization of Included Products.

• Issuer shall use the proceeds of the Notes (other than Notes issued in respect of the Third Purchase) solely as working capital, to fund Commercialization of the Included Products in the United States and to fund its general business requirements in accordance with the provisions of this Agreement, and not for personal, family, household or agricultural purposes.

• Except as set forth on Schedule 2.8, the Included Assets include all assets used or held for use by Sellers in the conduct of the Business (as conducted as of the date hereof) and directly related to the Included Products.

Included Products means those products listed on Annex B.

Included Products means all compounds, chemical entities, pharmaceutical products and medical devices (including software) being designed, developed, owned, licensed, manufactured or commercialized by Parent or any Subsidiary (other than an SPV Entity) from time to time (excluding, for the avoidance of doubt, the Alexion Licensed Products and Sanofi Licensed Products, in each case, as such terms are defined as of the date hereof).

Included Products means, collectively, (a) the Wyeth Licensed Products, and (b) any follow-on, comparable or related products, including combination products, in the Territory covered by or using any Dyax IP under any Included License Agreement.

Included Products means the YSJATM Rabies Vaccine, PIKATM Rabies Vaccine and other rabies vaccines and following any improvement, modification, development of such vaccine, such improved, modified or developed vaccines.

Included Products means the pharmaceutical drug known as Crofelemer, including any improvements or modifications thereto and any follow-on products, owned or controlled by Company, including Lechlemer for any similar indications. For the avoidance of doubt, the Included Products shall only include the prophylaxis and/or symptomatic relief of inflammatory diarrhea, initially to be studied in a “long-hauler” COVID-19 recovery patient population in Europe. The Included Products shall cover all global sales related to the above.

Included Products means those products, in each case to the extent currently owned and as currently or previously marketed by any of R. Popeil, Ronco, Popeil Inc. and/or RP, including, without limitation, xxx xxxxowxxx: Showtime Rotisseries (all three sizes); Six Star Plus Cutlery sets; Ronco Electric Food Dehydrators (both sizes); Popeil Pasta Makers (including sausage maker); Popeil Pocket Fisherman; GLH Hair Products; Solid Flavor Injector; Liquid Flavor Injector; Flip-It;

Included Products will only include apparel products bearing the "Nautica" trademark and included only in the lines listed below (the "Included Lines"): [confidential-filed with SEC]. The Payment for Included Net Sales by Nautica of any Included Product sold to a Third Party at a discount of more than 20% shall be .75% of the Included Net Sales. In the event that an Included Line is profitable to Nautica for any fiscal year and becomes unprofitable to Nautica for any subsequent fiscal year(s), the Payment made to you for any and all such future unprofitable years shall be reduced to .75% of the Included Net Sales. No Payment shall be made with respect to retail sales by Nautica. However, if in any fiscal year an Included Line is profitable to Nautica at retail but not profitable to Nautica at wholesale, then for such year (i) you will be entitled to a payment of .75% of the Included Net Sales at retail of the included Products which are part of such Included Line and (ii) you will not be entitled to any Payment of the Included Net Sales at wholesale. In the event that an Included Line is not profitable for any three consecutive fiscal years after its introduction by Nautica, such Included Line shall no longer be an Included Line for purposes of this letter. Nautica agrees to account for each of the Included Lines in such manner that a detailed accounting of each Included Product and Included Line shall be provided to you quarterly. It is our intention that this letter shall maintain the status quo concerning our respective rights to any intellectual property, including rights to any Nautica names or trademarks. Accordingly, (i) nothing in this letter will modify any such respective rights and (ii) neither you nor Nautica will submit, or refer to, this letter, or any of its terms, in any legal proceeding relating to such respective rights. This letter shall be binding upon Nautica and any successors to all or substantially all of the assets and business of Nautica. 2 This agreement constitutes the entire agreement between the parties with respect to the matters referred to herein.
