Included Equipment definition

Included Equipment means any Equipment other than Equipment which constitutes Excluded Collateral.
Included Equipment means all of the machinery, equipment and other tangible personal property owned, leased or licensed by the Seller which is used or held for use in the operation of the Acquired Business and is to be acquired by or assigned to the Buyer and which is identified on Schedule 1 of the Seller Disclosure Schedule.
Included Equipment means new equipment listed in this Schedule. If you would like Clover Care protection for eligible devices that are not listed in this Schedule, ordevices that you purchase in the future, you must agree to a separate Schedule for those devices. Devices may be eligible for Clover Care for one year from the date of purchase. Subject to the conditions and exclusions set forth in this Schedule, Clover Care replaces, at no additional charge to you, Included Equipment that has failed due to manufacturer defects in materials or workmanship, normal wear and tear from use in your business, and accidental damage from handling during the Clover Care Term, as defined below. Clover Care protection will supersede the manufacturer’s limited warranty for Included Equipment. Clover Care protection begins when we ship you the Included Equipment and continues for three years from that date (the Clover Care Term). Clover Care protection extends to replacement devices for the remainder of the original unit’s Clover Care Term.

Examples of Included Equipment in a sentence

  • All Inventory and Included Equipment held on the Effective Date, or held at any time during the four calendar months prior to the Effective Date, by each Assignor is located at one of the locations shown on Annex B hereto for such Assignor.

  • All Inventory and Included Equipment held on the Restatement Effective Date, or held at any time during the four calendar months prior to the Restatement Effective Date, by each Assignor is located at one of the locations shown on Annex B hereto for such Assignor.

  • Landlord makes no representations or warranties of any kind or nature, express or implied, regarding the suitability of the Included Equipment for Tenant’s use.

  • During the term of this Lease, Tenant may use the Included Equipment and Tenant shall be responsible for all costs and expenses relating to moving, and operating the Included Equipment and shall maintain or cause to be maintained, and return and yield-up, the Included Equipment in the same good condition and repair as of the Execution Date, subject to reasonable wear and tear, and in compliance with all applicable laws and insurance requirements.

  • For purposes of the foregoing sentence, the term “reasonable wear and tear” constitutes that normal, gradual deterioration that occurs due to aging and ordinary use of the Included Equipment despite reasonable and timely maintenance and repairs; in no event shall “reasonable wear and tear” excuse Tenant from its duty to keep the Included Equipment in the condition and repair required hereunder.

  • Subtenant shall insure, repair and maintain the Included Equipment at its sole cost and expense throughout the Sublease Term, and at the expiration or earlier termination of this Sublease or Subtenant’s right of possession to the Subleased Premises, Subtenant shall return the Included Equipment to Tenant in good condition, ordinary wear and tear excepted, or, at Tenant’s option, shall remove the Included Equipment from the Subleased Premises.

  • Tenant shall accept the Included Equipment in the same condition in which the Included Equipment is in as of the Term Commencement Date, without any representation or warranty by Landlord to Tenant as to the condition of the Included Equipment.

  • Schedules 1.1(c) - (h) --------------------------------------- ---------------------- set forth all material Included Assets, excluding Included Equipment and Included Inventory.

  • Tenant makes no representation or warranty as to the quality or condition of the Included Equipment or the adequacy of the Included Equipment for Subtenant’s intended purposes.


More Definitions of Included Equipment

Included Equipment means new equipment listed in Section 4 of this Addendum. If you would like Clover Care protection for eligible devices that are not listed in Section 4 of this Addendum, or devices that you purchase in the future, you must agree to a separate addendum for those devices. Devices may be eligible for Clover Care for 1 year from the date of purchase.
Included Equipment means the items of machinery and equipment set forth on Exhibit 1C and all other items of machinery, equipment, tools, furniture and fixtures used in the Business.
Included Equipment means an item of New Equipment that is not an item of Excluded Equipment.

Related to Included Equipment

  • Excluded Equipment means, at any date, any equipment or other assets of the Borrower or any Guarantor which is subject to, or secured by, a Capitalized Lease Obligation or a purchase money obligation if and to the extent that (i) a restriction in favor of a Person who is not Holdings or any Restricted Subsidiary of Holdings contained in the agreements or documents granting or governing such Capitalized Lease Obligation or purchase money obligation prohibits, or requires any consent or establishes any other conditions for or would result in the termination of such agreement or document because of an assignment thereof, or a grant of a security interest therein, by the Borrower or any Guarantor and (ii) such restriction relates only to the asset or assets acquired by the Borrower or any Guarantor with the proceeds of such Capitalized Lease Obligation or purchase money obligation and attachments thereto, improvements thereof or substitutions therefor; provided that all proceeds paid or payable to any of the Borrower or any Guarantor from any sale, transfer or assignment or other voluntary or involuntary disposition of such assets and all rights to receive such proceeds shall be included in the Collateral to the extent not otherwise required to be paid to the holder of any Capitalized Lease Obligations or purchase money obligations secured by such assets.

  • Fixed Equipment means any property affixed in any way to the Licensed Premises existing at the time Notice to Proceed is given, whose removal would damage the Licensed Premises.

  • Leased Equipment means the equipment which may include but not limited to modem provided by TM on lease basis to enable usage of the Service by the Customer, as may be decided by TM from time to time at its sole discretion.

  • Purchased Equipment means any equipment, including any Software, sold by BT to the Customer.

  • Designated Equipment means either: (i) a server identified by serial number, or host I.D. on which the Licensed Materials are stored; or (ii) a computer or workstation, as identified by its serial number, host I.D. number or Ethernet address; to which the Licensed Materials are downloaded and Used only upon the issuance of a License Key. The Designated Equipment shall be of a manufacture, make and model, and have the configuration, capacity (i.e., memory/disk), operating software version level, and pre- requisite and co-requisite applications, prescribed in the Documentation as necessary or desirable for the operation of the Software.

  • Covered Equipment means, unless otherwise specified in a Schedule, Covered Property:

  • Standard equipment means the basic configuration of a vehicle which is equipped with all the features that are required under the regulatory acts of the Contracting Party including all features that are fitted without giving rise to any further specifications on configuration or equipment level.

  • Associated equipment means equipment that is used in conjunction with a radiographic exposure device to make radiographic exposures that drives, guides, or comes in contact with the source, e.g., guide tube, control tube, control (drive) cable, removable source stop, “J” tube and collimator when it is used as an exposure head.

  • Operating Equipment means furniture, furnishings, special lighting fixtures, carpeting, draperies, decorations or other special finishing work, signs, appliances and trade fixtures and equipment that is furnished, installed or used by the Contractor in its operations on the Airport. It does not include Fixed Improvements, or repair or maintenance of Operating Equipment or Fixed Improvements or displays or decorations that are of a seasonal or temporary promotional nature.
